Schroeder, City Administrator Date: November 2, 2012 Subject: LOI on Solar Installation The City had previously entered a Letter of Intent (LOI) with Ameresco and TenK Solar toward development of solar installations on City facilities. At this time we are requesting Council authorization on a new LOI with TenK and AP Development Corporation. TenK is the manufacturer and AP is the contractor (AP previously completed the PW Building expansion for the City in 1996 -97). This same item was presented to the Environmental Commission at their October meeting. That commission unanimously recommends approval of Council consideration of building facility solar installations. Representatives of AP/TenK will be at your meeting. The enclosed power point was provided by the development team which proposes solar installations on the Ice Arena, the Public Works facility and potentially on the BEC. It is projected that the project will achieve a break even within seven years upon the assumption that the project receives sought after tax credits and Xcel Rebates. There is no upfront cost borne by the City to realize solar installs for lighting on each of these buildings. Further, the development team guarantees energy savings as proposed within the Power Point presentation. It is intended that the City be provided the opportunity to "buy out" the interest in the solar assets at the seven year mark at an estimated not to exceed cost of $16,000 at that time. Should the City choose not to exercise the buyout option it can continue to contract for maintenance and operations with the development team beyond the seven year period. The requested action at this time is to enter the LOI which allows us the opportunity to work toward a development agreement. (Jim) Losleben Vice President of Business Development tenKsolar, Inc. 9549 Penn Avenue S., Suite D Bloomington, Minnesota 55431 Dear Sirs, We are writing to express our interest in negotiating with AP Development Corporation ( "AP ") and tenKsolar, Inc. (tenK) for the development of a solar electric projects on buildings within the city of Cottage Grove, MN (City). The project will be funded by utility rebates from Xcel Energy, Renewable Deveoplement Fund (RDF) grants, the Federal Investment Tax Credit (FITC), and other project financing that may be developed by the project team and made available to the City. The City has decided to continue further negotiations with AP as its preferred Developer /Qualified provider and tenKsolar as its preferred solar technology provider. This non- binding Letter of Intent is our request of AP and tenK and its project team to work with the City to develop a detailed development plan for the projects. It is our desire to complete the detailed development plan as soon as practical so that the City may make a final decision on the project and proceed with the procurement, installation and completion of the solar electric generation system as soon as possible. To the extent allowed by state law, this letter is our indication that we will work with AP and tenK and its project team on an exclusive basis until an agreeable detailed development plan is finalized or until such time as the City, at it's option, notifies AP and tenK that it has decided not to continue working with AP or tenK on the projects. As the preferred team, AP and tenK shall also have the right, upon notice to City officials, to terminate disussions for either technical or financial reasons that it believes may make the project not feasible. In making this proposal, AP and tenK have relyed on the following information and assumptions: • Xcel Energy is the utility service provider and will provide net metering • The solar PV system will be sized for the location and will not exceed incentive restrictions • PV modules and inverters provided by tenK will qualify for the Minnesota made rebate • The City will provide timely information as required to assess feasibility • Agreements for this transaction are standard in nature and will not require substantual change • AP is responsible for financing and installation of the PV system • Insurance and maintenance is the respsonbility of AP until transfer of ownership to the City • All parties will comply with Minnesota Statute 471.345 for energy efficiency projects It is understood by the City, AP, and tenK that if the City is not able to secure the Xcel rebates or RDF grant, the project may not proceed. It is also understood that any representations of energy production, energy savings, costs to the City, and project costs are estimates and actual results may vary from such estimates.
