All nine panel antennas will be mounted at the 62-foot elevation of the 120-foot tower. Three of the nine panel antennas are approximately six inches wide and eight feet in length. The other six panel antennas are ap- proximately six inches wide and three and one-half feet long. The applicant initially proposed a natural gas generator about ten feet southeast of the existing lattice tower base, but the terrain in that general vicinity would require too much grading and re- placement of existing landscape plantings. Two alternate locations were considered for the emergency generator, but the existing residential apartments northwest of the site required the generator to be too far from Verizon's equipment room. For this reason, the applicant has de- cided not to install an outdoor emergency generator at this site. The installation of the antennas will improve Verizon Wireless' coverage area and capacity to support current and future wireless communication customer needs. Location Map Honorable Mayor, City Council Members and Ryan Schroeder Verizon Wireless — Conditional Use Permit Application January 29, 2014 Page 2 of 4 Planning Commission Review The Planning Commission held a public hearing on August 26, 2013 for the proposed installa- tion of nine antennas on the existing lattice tower and placement of a 50-kilowatt natural gas generator. Staff summarized Verizon Wireless' conditional use permit application. No testimony was received for or against this proposal. The applicant agreed to work with City staff in identi- fying the best location for the proposed generator and agreed to provide appropriate screening and replacement of all landscaping materials that are removed or displaced during the construc- tion process. The Planning Commission unanimously (7-to-0 vote) recommended approval of this application, subject to certain conditions. The conditions approving the conditional use permit were inserted in the attached draft resolution. An excerpt from the Planning Commission's approved minutes is attached. Ordinance Requirements The City's Electromagnetic Communication Facilities (EMCF) ordinance requires a conditional use permit for antennas. Approval is subject to the provisions of the zoning ordinance and any conditions required by the City. Verizon's application complies with the ordinance regulations. Planning Considerations Equipment Storage and Generator The wireless communication equipment will be placed inside the attached garage/storage space for the BEC facility. The lease agreement between the City and Verizon Wireless will address the lease amount, accessibility, utilities, maintenance, etc. The applicant's initial location for the proposed natural gas generator was approximately ten feet southeast of the existing lattice tower. This area of the property slopes away from the garage exterior wall and is landscaped. To construct a concrete slab for the generator and the two air conditioner units, some of the existing landscaping must be removed and re-graded. Alternative locations for the proposed generator were evaluated, but because of the potential generator noise and the existing residential apartment building northwest of the site, the generator would be too far from Verizon's equipment room. For this reason, Verizon decided not to install an out- door generator at this time. If an emergency generator is proposed, it must be screened from public view. A privacy fence with a minimum height of six feet and landscape plantings/mulch will be required around the generator and fencing. All yard areas and underground irrigation systems disturbed by con- struction must be replaced with similar materials. The existing diesel generator located on the north side of the garage/storage area will remain on the property. This generator powers the building in the event of a power failure. Public Hearing Notices Public hearing notices were mailed to 73 property owners who are within 500 feet of the pro- posed site. These notices were mailed on August 14, 2013. Recommendations That the City Council accepts the Planning Commission's recommendation approving Verizon Wireless' conditional use permit application and construction plans dated December 2, 2013 to install nine panel antennas on the existing lattice tower and remodeling a portion of the building located at 7516 80th Street South. The conditions approving the conditional use permit recom- mended by the Planning Commission were inserted in the attached resolution for Council's approval. WHEREAS, the City reviewed the application in relation to the City's Electromagnetic Communications Facility Ordinance and all other applicable state and federal regulations; and WHEREAS, a planning staff report, which detailed specific information on the property and the application request, was prepared and presented; and WHEREAS, public hearing notices were mailed to property owners within 500 feet of the property and a public hearing notice was published in the South Washington County Bulletin; and WHEREAS, the Planning Commission held a public hearing on August 26, 2013; and WHEREAS, the public hearing was open for public testimony and no one spoke for or against the application. The applicant was present at the meeting; and WHEREAS, the Planning Commission unanimously (7-to-0 vote) recommended to the City Council that the conditional use permit be granted. NOW, THEREFORE BE IT RESOLVED, the City Council of the City of Cottage Grove, Washington County, Minnesota, hereby grants a conditional use permit to allow installation of nine panel antennas on the existing lattice tower and remodeling a portion of the existing building as shown on the construction plans dated December 2, 2013 for the property legally described above, subject to the following conditions: All applicable permits (i.e., building, electrical, mechanical) and a commercial plan review packet must be completed, submitted, and approved by the Building Official, Fire Marshal, and Public Works Director prior to the commencement of any construction activities. Resolution No. 2013-XXX Page 2 of 3 2. The applicant must schedule a pre-construction meeting with the Public Works Director before work can begin. 3. Construction or installation of equipment on the subject property may only com- mence once the applicant/permittee has entered into an agreement with the City for leasing city-owned land or buildings, access, antenna installation on the lat- tice tower, and all other details recommended by the City Attorney. The lease agreement must be signed by the applicant before the agreement and the Planning Commission's recommendation for the conditional use permit are placed on the City Council agenda for final action. 4. Advertising on the antennas is prohibited. 5. Outdoor storage is prohibited. 6. Color and sample materials for all cables, antennas, and mounting brackets/ braces must be submitted to the Public Works Director for final approval prior to issuance of the building permit. City specified manufactured colored coaxial cable will be required (painted coaxial cable will not be accepted). 7. No significant change in the use or design of the antennas may be made without the Public Works Director's consent. Minor modifications to service or use may be considered if such changes will not cause the antennas to violate the perfor- mance standards set forth in the City Codes or the conditions of this conditional use permit. 8. Utilities must be installed underground as approved by the Public Works Director. 9. The applicant must submit detailed construction plans and specifications of the proposed antenna facilities, related equipment, and screening/landscaping improvements to the Department of Public Works for review. All plans and speci- fications including the location and attachment of the proposed antenna equip- ment will require final approval from the Public Works Director prior to the issuance of a building permit. 10. If an emergency generator and air conditioner units are to be placed on the prop- erty as originally proposed, the generator and air conditioner units must be screened from view. A privacy fence a minimum of six feet in height is an option with landscape plantings and mulch along the fenced area. All yard areas and underground irrigation systems disturbed by the proposed improvements must be replaced with similar materials. 11. Any modification to the existing grades must not negatively impact existing drainage swales or the building's exterior walls and/or foundation. Stransky, City Clerk MEMORANDUM TO: Honorable Mayor and City Council FROM: Robert Vose, Special Counsel Kennedy & Graven, Chartered DATE: January 10, 2014 RE: Tower Site Lease; 7516 80 Street (ECCO site) Verizon We have negotiated a proposed lease with Verizon Wireless (VAW) LLC d/b/a Verizon Wireless ("Verizon"). The lease would permit Verizon to place up to nine (9) antennas on the existing 120-foot tall lattice tower on the City's property and landscaping adjacent to the tower, and would allow Verizon to install additional equipment and facilities in an approximate 240 square feet (12'X20') room in the City's existing building near the tower. The lease would also give Verizon the non-exclusive right to access the premises via defined corridors, and grant certain defined utility and cable routing rights-of-way all as depicted and described in attachments to the proposed lease. Verizon would pay rent quarterly, in advance, in the amount of $31,000.00 annually, inflated by 3% each year. The initial term of the lease would run through December 31, 2018, with a right to up to 3 renewal terms of 5 years each. The parties would have various termination rights including a right for Verizon to tei�rninate in the event the premises become unacceptable in light of the company's system technology, and a right for the City to terminate upon 1 years' notice if the City Council decides, for any reason, to discontinue the tower. Verizon could only assign the lease or sublet a portion of its space with the City's express written consent, and could not lease other space on the tower under any condition. The lease is generally consistent with leases previously approved by the Council. Verizon will reimburse the City's expenses in relation to negotiating the amendment. We recommend approvaL M1NC Ecco TOWER LEASE AGREEMENT This Tower Lease Agreement ("Agreement") is made as of this day of , 2014, by and between City of Cottage Grove, a Minnesota municipal corporation ("City"), and Verizon Wireless (VAW) LLC d/b/a Verizon Wireless, with its principal office located at One Verizon Way, Mail Stop 4AW100, Basking Ridge, New Jersey, 07920 ("Lessee") for the leasing of certain property pursuant to the following terms: 1. PROPERTY. The City hereby leases to Lessee a portion of the property and existing 120-foot tall, self-supported lattice tower ("Tower") located at 7516 80 Street, Cottage Grove, MN 55016 and legally described on attached Exhibit A("City's Property"). The City leases the following: exterior space on the Tower for attachment of up to nine (9) antennas ("Antennas"); interior space totaling approximately 285 square feet (15' 3" X 18' 8") in the existing building on the City's Property for the location of equipment and electronics associated with operation of the Antennas; space required for cable runs to connect the equipment building to the Antennas; certain non-exclusive rights of ingress and egress over defined corridors, and certain utility and cable routing rights-of-way thru defined corridors, all as depicted and described on attached Exhibit A-1 (collectively, the "Leased Premises"). The location of the Antennas, cables and associated communications equipment upon the Tower has been approved by the City's Director of Public Works and is depicted on Exhibit C. 2. TERM. The initial term of this Agreement shall begin on the date of execution by both parties ("Commencement Date") and, subject to the terms of the Termination paragraph herein, shall end on December 31, 2018 ("Initial Term"). Notwithstanding the foregoing, the Agreement is contingent on the conditions in Paragraph 3 below and the Lessee may not install its Antennas or communications equipment or begin construction of an equipment building until the conditions in Paragraph 3 below are satisfied. 3. CONDITIONS. A. Buildin� and Electrical Permit. The Lessee, or its contractor, must obtain a building permit and electrical permit and/or any other governmental approval necessary for the construction and/or operation of the communications facilities. B. Conditional Use Permit. The Lessee has received a Conditional Use Permit ("CUP") attached hereto as E�ibit B for operation of the communications facilities. The Lessee shall comply with' all terms and conditions of the CUP and those additional conditions listed in Exhibit B. 4. RENT. A. Rent Amount. As consideration for this Agreement, Lessee sha11 pay an annual rent in the amount of Thirty One Thousand and 00/100 Dollars ($31,000.00) for the year 2014 prorated from the date of execution by both parties of this Agreement, together with 427262v2RJV CT160-162 any applicable sales tax. The rent shall automatically increase on January 1, 2015 and each subsequent January lst by 3%. B. Rental Pavments. Lessee shall pay City rent in advance in four quarterly installments. The Lessee shall pay rent for the initial calendar quarter (or portion thereo fl within thirty (30) days of the execution of this Agreement by both parties. Thereafter, Lessee shall pay rent on or before the first (l business day of each calendar quarter, i.e. Jan. l; April l; July l; and Oct. 1. Except for a termination due to Lessee's default, the Parties shall make an appropriate adjushnent, as of any termination date, with respect to payments due to the other under this Agreement. C. Taxes. Lessee will pay all property taxes (if any) assessed against the City's Property or Tower in relation to the Antennas, base station corrununications equipment associated with the Antennas, or the building or road improvements constructed by Lessee. City shall provide to Lessee a copy of any notice, assessment or billing relating to real estate taxes for which Lessee is responsible under this Agreement within a reasonable time a$er receipt of the same by City but in no event later than sixty (60) days before the last day for appeal of the amount assessed. Lessee shall have no obligation to make payrnent of any real estate taxes until Lessee has received the notice, assessment or billing relating to such payment as set forth in the preceding sentence. Lessee shall have the right, at its sole option and at its sole cost and expense, to appeal, challenge or seek modification of any real estate tax assessment or billing for which Lessee is wholly or partly responsible for payment under this Agreement. City shall reasonably cooperate with Lessee, at Lessee's cost, in filing, prosecuting and perfecting any appeal or challenge to real estate taxes as set forth in the preceding sentence, including but not litnited to, executing any consent to appeal or other similar document. D. City Costs. • Within thirty (30) days of the signing of this Agreement by both parties, Lessee shall pay the City a one-time, non-recurring and non-refundable payment of Six Thousand Five Hundred and no/100ths Dollars ($6,500.00), to reimburse the City's for costs associated with reviewing Lessee's site proposal and proposed antenna attachments. 5. OPTION TERMS. Subject to the terms and conditions contained herein, this Agreement shall automatically renew for up to three (3) additional and successive renewal terms of five (5) years each (each, an "Option Term") unless Lessee gives City written notice of Lessee's intention not to extend at least thirty (30) days prior to the expiration of the then-current term. 6. USE. A. General. Lessee may use the Leased Premises for the purpose of installing, operating, maintaining, removing, and replacing Antennas and associated communications equipment. Lessee may replace, modify, or alter the Antennas and 427262v2RJV CT160-162 2 associated communications equipment, or add additional antennas or equipment, with the City's express written approval. B. Antenna Attachments. Lessee has provided the City with information and plans concerning Lessee's method for attaching the Antennas to the Tower, which are attached as Exhibit C. Lessee will be permitted to modify this method of attachment to the Tower only upon City's prior written approval, which approval shall not be unreasonably withheld, conditioned or delayed. In such case, Lessee will not allow any mechanics' or other liens to be placed on the Leased Premises as a result of its work on the Leased Premises. C. Access to Leased Premises. The City shall provide Lessee with access to the Leased Premises including the Tower, Antennas, and associated communications equipment located upon and adjacent to the Tower, twenty-four (24) hours per day, seven (7) days per week, except that City may require Lessee to make advance arrangements for access onto the Tower with a City-designated official. Lessee shall be fully and solely liable for any and all loss, damage or claim associated with its use of the Leased Premises and access to the City's Property. 7. FACILITIES. A. Installation. Lessee shall install and maintain the Leased Premises and its Antennas and associated comnnunications equipment in compliance with the conditions identified in E�ibit B, a11 applicable codes, ordinances and statutes, FCC rules and regulations, and good engineering practices. Lessee sha11 install its Antennas as described in E�chibit C attached hereto. Lessee agrees that its Antennas will be of types and frequencies that will not cause radio frequency interference to City. In the event interference with other communications providers occurs, Lessee shall be responsible for the correction of said interference as provided in Paragraph 8 below. B. Maintenance. Lessee shall reasonably and safely maintain and repair its Antennas and associated communications equipment at its own expense, which repair and maintenance shall occur according to goad engineei7ng practices. City shall maintain the Tower in accordance with good engineering practices, and shall seek to cause all other lessees and users of the City's Property to comply, where feasible, with all applicable FAA and FCC rules and regulations. Any modifications to the Tower requested by the Lessee or required to support Lessee's facilities shall be at Lessee's sole expense. C. Frepuencies. Lessee shall provide a list of the initial frequencies it intends to use on the Leased Premises within thirty (30) days af fu11 execution of this Agreement. Prior to adding any additional transmitter or receiver frequencies on the Leased Premises, Lessee shall notify the City of the frequencies. The City acknowledges that if from time to time Lessee changes or increases or decreases the number of frequencies upon which its transmits and receives, Lessee may do so, provided that prior to any such changes or increases Lessee shall give City seventy two (72) hours written notice identifying such changes or increases. The frequencies which are currently in use by Lessee at any given 427262v2RJV CI'160-162 point in time shall be considered the frequencies that Lessee is using for all purposes under this Agreement (hereinafter referred to as "Lessee's Frequencies"). 8, LESSEE INTERFERENCE. A. User Prioritv. Lessee agrees that the following priorities of use, in descending order, shall apply in the event of communication interference or other conflict while this Agreement is in effect: l. City; ' 2. Public safety agencies, including law enforcement, fire, and ambulance services, that are not part of the City; 3. Other governmental agencies where use is not related to public safety; and 4. Lessee and other government-regulated entities whose antennae offer service to the general public for a fee, in a manner similar to a public utility, such as long distance and cellular telephone, including radio or television broadcasters. B. Tower. Lessee shall not interfere with City's existing use of the Tower and shall cease all such actions which unreasonably and materially interfere with City's use thereof no later than three (3) business days after receipt of written notice of the interference from City. In the event that Lessee's cessation of action is material to Lessee's use of the Leased Premises and such cessation frustrates Lessee's use of the Leased Premises within Lessee's sole discretion, Lessee shall have the immediate right to terminate the Agreement for cause and without payment for damages. C. With Hi�her Priority Users. If Lessee's Antennas cause harmful radio interference with higher priority users as outlined in section 8 A. above, Lessee shall take all measures necessary to correct and eliminate the interference. If the interference cannot be eliminated within five (5) business days after receiving City's written notice of the interference, Lessee shall immediately cease operating its Antennas and shall not reactivate operation, except intermittent operation for the purpose of testing, until the interference has been eliminated. If the interference cannot be eliminated within 60 days after Lessee received City's written notice, City or Lessee may at its option terminate this Agreement immediately for cause and without payxnent of any damages. In order to minimize the likelihood of fi•equency interference, City agrees that after the Commencement Date it will not lease space on the Tower, within fifteen (15) feet of Lessee's Antennas, to other users of the same priority as Lessee. 9. UTILITIES. Lessee shall be responsible for all electric service, telephone or other commutation service charges associated with the Antennas and communications equipment. 10. INSURANCE. A. Indemnitv. Lessee shall indemnify City and hold City harmless from and against any and all claims and demands relating to the negligence or misconduct of Lessee, its agents and employees, including the payment of reasonable attarneys' fees 427262v2RJV CT160-162 4 and costs for damages to property and injury or death to persons, including any payments made under any worlcers' compensation law or any plan for employees' disability and death benefits, which may arise out of or be caused by the installation, maintenance, presence, use or removal of Lessee's Antennas and associated facilities or equipment on the Leased Premises, except as said claim or demand may arise out of or in any way result from the negligence or willful misconduct of City, its eznployees, agents or invitees. B. Workers Compensation. Lessee n�ust maintain Workers' Compensation insurance in compliance with all applicable statutes. The policy shall also provide Employer's Liability coverage with limits af $500,000 bodily injury each accident, $500,000 bodily injury by disease, policy limit, and $500,000 bodily injury by disease, each employee. C. General Liability. Lessee agrees that at its own cost and expense, it will maintain comprehensive general liability and property liability insurance with liability limits of not less than $1,000,000 for injury to or death of one or more persons in any one occurrence and $500,000 for damage or destruction to property in any one occurrence. City agrees that at its own cost and expense, it will maintain comprehensive general liability and property liability insurance with liability limits of not less than the limits on liability imposed by Minn. Stat. § 466.04, and nothing herein shall be construed as a waiver of any limits on or protections from Iiability under Chapter 466. These limits may be satisfied by the Commercial General Liability Coverage or in combination with an Umbrella or Excess Liability Policy, provided coverage afforded by the Umbrella or Excess Policy is no less than the underlying commercial General Liability Coverage. D. Automobile Liability. Lessee must carry Commercial Automobile Liability Coverage. Coverage shall afford total combined single limits in the amount of $1,000,000 per accident. The liability limits may be afforded under the Commercial Automobile Liability Policy, or in combination with an Umbrella or Excess Liability Policy provided coverage afforded by the Umbrella or Excess Policy is no less than the underlying Commercial Automobile Liability coverage. Coverage shall be provided for third party bodily injury and property damage arising out of the ownership, use maintenance or operation of all owned, non-owned, and hired automobiles. The Commercial Automobile Policy shall include at least statutory personal injury protection, uninsured motorists and underinsured motorists coverages. E. Additional Insured - Certiticate of Insurance. Lessee sha11 provide, prior to tenancy, evidence of the required insurance in the fortn of a Certificate of Insurance issued by a company reasonably acceptable to City (rated A- or better by A.M. Best), licensed to do business in the state of Minnesota, which includes all coverages required in this Paragraph. Lessee will name City as an Additional Insured on the Commercial General Liability and Commercial Automobile Liability Policies. F. Casual . Neither party shall be liable to the other (or to the other's Successors or assigns) for any loss or damage caused by fire or other casualty which could be insured 427262v2RJV CT160-162 against under the terms of standard fire and extended coverage (all risk) insurance policies, regardless of cause or origin, including fault or negligence of the other party hereto, or anyone for whom such party may be responsible. 11. CONDITION OF PROPERTY. City represents that City's Property and all improvements thereto, including the Tower, are in compliance with all building and other laws of any governmental or quasi-governmental authority. 12. TERMINATION. A. Termination Events. Except as otherwise provided herein, this Agreement may be terminated, without any penalty or further liability, on sixty (60) days notice as follows: by either party upon default of any covenant or term hereof by the other party which default is not cured within sixty (60) days of receipt of written notice of default provided each party shall have such extended period as may be required beyond the sixty (60) days if the nature of the cure is such that it reasonably requires more than sixty (60) days and the party commences the cure within the sixty (60) day period and thereafter continuously and diligently pursues the cure to completion (without, however, limiting any other rights available to the parties pursuant to any other provisions hereo�; or 2. by Lessee if it is unable to obtain or maintain any license, permit or other governmental approval necessary to the construction and/or operation of the Communications Facilities or Lessee's business; or 3. by Lessee if the Leased Premises or Antennas are or become unacceptable under Lessee's design or engineering specifications for the Antennas or the communications systems to which the Antennas belong or if soil boring test results are found to be unsatisfactory; or 4. by City, upon one (1) year's prior written notice to Lessee, if its Council decides, for any reason, to discontinue use of the Tower for all purposes; 5. by City, upon nine (9) months written notice, if it reasonably determines that the Tower is structurally unsound, including, but not limited to, consideration of age of the Tower, damage or destruction of all or part of the Tower from any source, or factors relating to condition of the Leased Premises, subject to Lessee's right to make any needed repairs and deduct the costs of the repairs from succeeding rental amounts normally due from Lessee to the City; provided, however, that during the nine (9) month period after giving notice by the City, City may require Lessee to promptly remove its Antenna and equipment from the Tower only if there is, in City's reasonable judgment, imminent danger or an emergency 427262v2RN CT160-162 situation involving public safety. If prompt removal of the Antenna is necessary, Lessee shall be allowed to place temporary equipment (including a temporary ceIl site and antenna structure) on the City's Property for the duration of the notice period. 6. subject to paragraph 8(c), by City, upon one hundred twenty (120) days written notice, if after engineering studies, it reasonably determines that the antennas unreasonably interfere with another user with a higher priority, regardless of whether or not such an interference was predicted in the initial interference study that was part of the application process. B. Site Restoration. In the event that this Agreement is terminated or not renewed, Lessee shall have ninety (90) days from the termination or expiration date to remove its Antennas, and related equipment from the Leased Premises, repair the site and restore the surface of the Tower, reasonable wear and tear excepted. Prior to construction, Lessee shall provide a performance bond, letter of credit or other form of security to City in the amount of Two Thousand and 00/100 Dollars ($2,000) as security for removal of Lessee's equipment and restoration of the Leased Premises and the surface of the Tower. In the event Lessee fails to timely remove its equipment and restore the Leased Premises and surface of the Tower to its original condition, reasonable wear and tear and casualty excepted, City may, after reasonable notice to the surety, perform the removal and restoration and draw upon the performance bond or other security the amount of any loss, damage, or expense incurred or suffered as a result thereof. Any unused portion of the performance bond or security shall be reimbursed to Lessee. 13. MAINTENANCE AND OPERATION PROPERTY. A. Citv Right to Onerate. City shall have the right to operate its existing facilities at the Tower in such manner as will best enable it to fulfill zts own service requirements, but in accordance with the provisions herein. City shall not be liable to Lessee for any interruption of the service of Lessee or for interference with the operation of Lessee's Antennas arising in any manner from use of the Leased Premises thereunder, unless due solely to the negligence or willful misconduct of City, its employees, agents, or invitees. B. Limitations of Citv's Liabilitv. If City negligently causes interruption of the business of Lessee or for any other City breach of this Agreement, City's liability for damages to Lessee shall be limited to the actual and direct costs of equipment removal, relocation or repair and shall specifically exclude any recovery for value of the business of Lessee as a going concern, future expectation of profits, loss of business or profit or related damages to Lessee. C. Risk to Public Health or Safety. In the event the Federal Communications Commission makes a determination which is final and non-appealable or which his affirmed and becomes final after the exhaustion of all available appeals concluding that the Lessee's use as set forth in this Agreement presents a material 427262v2RJV CT160-162 7 risk to the public health or safety, either the City or Lessee may immediately terminate this Agreement upon notice to the other party. D. Temporary Interruptions of Service. If City reasonably determines that continued operation of the Antennas would cause or contribute to an immediate threat to public health and/or safety including evidence presented by an independent expert that Lessee is failing to comply with the FCC, emission standards applicable to radio frequency transmission, City may order Lessee to discontinue its operation. Lessee shall immediately comply with such order. Service shall be discontinued only for the period that the immediate threat exists. If City does not give prior notice to Lessee, City shall notify Lessee as soon as possible after its action and give its reason for taking the action. City shall not be liable to Lessee or any other party for any interruption in Lessee's service or interference with Lessee's operation of its Antennas, except as may be caused by the willful misconduct of City, its employees or agents. If the discontinuance extends for a period greater than twenty four (24) hours, either consecutively or cumulatively, Lessee shall have the right to terminate this Agreement within its sole discretion for cause and without payment of any damages. E. Antenna Color. Lessee's Antennas shall be the same color as the Tower, or another color approved by the City. F. Replacement. Lessee reserves the right to replace, but not add to, increase or expand, without City's approval, its equipment with similar and comparable equipment provided said replacement does not increase the loading of said Tower. Before Lessee may modify, update, or increase Antennas, or replace Antennas in a manner that may increase the loading, Lessee must notify and provide a detailed proposal to City and any other information reasonably requested by City of such requested modification, update, addition, or replacement including but not limited to, a technical study carried out at Lessee's expense. In the event any modifications create additional loading to the Tower or require additional space, City inay require renegotiation of the rent amount. City may not unreasonably withhold, condition or delay its approval of any modifications, update, or replacement by Lessee under this Paragraph. G. Paintin� and Maintenance of Tower. In the event the City elects to paint or otherwise undertake maintenance of the Tower requiring the temporary relocation or removal of the Antennas and associated communications equipment, the City shall notify the Lessee of the date by which its facilities must be relocated or temporarily removed provided, however, that the City shall give the Lessee at least ninety (90) days in which to complete the relocation or temporary removal. Upon notice from the City, the Lessee must relocate or remove the Antennas and associated communications eguipment at its sole cost and expense. Lessee may place a temporary, mobile antenna facility on the City's Property during the period of repair to ensure continuation of service. Lessee shall be required to reimburse the City for any reasonable additional expenses incurred by the City in 427262v2RJV CT160-162 maintaining the Tower resulting from the Lessee's occupancy of the Tower. The City shall provide an itemized statement of any additional costs incurred to Lessee. 14, HAZARDOUS SUBSTANCES. City represents that it has no knowledge of any substance, chemical, or waste on City's Property that is identified as hazardous, toxic or dangerous in any applicable federal, state or local law or regulation. City shall hold Lessee harmless from and indemnify Lessee against any damage, loss, expense, response costs, or Iiability, including consultant fees and attorneys' fees resulting from the presence of hazardous substances on, under, or around City's Property or resulting from hazardous substances being generated, stored, disposed of, or transported to, on, under, or around City's Property as long as the hazardous substances were not generated, stored, disposed of, or transported by Lessee or its employees, agents or contractors. Lessee represents and warrants that hazardous substances will not be generated, stored, disposed of or transported to, on, under, or around City's Property by Lessee. Lessee shall hold City harmless from and indemnify City against any damage, loss, expense, response costs, or liability, including consultant fees and attorneys' fees resulting from hazardous substances generated, stored, disposed of, or transported to, on, under, or around City's Property by Lessee or its employees, agents or connactors. City and Lessee acknowledge that Lessee shall be utilizing and maintaining on the City's Property sealed batteries, a propane/diesel/gasoline emergency power generator, HVAC system, and a halon/FM200 fire suppression system. 15. CASUALTY. If any portion of City's Property or the Antennas is damaged by any casualty and such damage adversely affects Lessee's use of the Leased Premises, this Agreement shall terminate as of the date of the casualty if Lessee gives written notice of the same within thirty (30) days after Lessee receives notice of such casualty. lb. CONDEMNATION. If a condemning authority takes any portion of City's Property and such taking adversely affects Lessee's use of the Leased Premises in Lessee's sole determination, this Agreement shall terminate as of the date of the taking if Lessee gives written notice of the same within thirty (30} days after Lessee receives notice of such taking. The parties shall be entitled to make claims in any condemnation proceeding for the value of their respective interests in City's Property (which for Lessee may include, where applicable, the value of the Lessee's property including Antennas, moving expenses, prepaid rent, and business relocation expenses). Sale of all or part of City's Property to a purchaser with the power of eminent domain in the face of the exercise of such power shal� be treated as a taking by condemnation. 17. QUIET ENJOYMENT. Lessee, upon perfortnance of its obligations hereunder, shall peaceably and quietly have, hold and enjoy the Leased Premises subject to primary use as a water storage facility. If as of the date of execution of this Agreement or here after, there is any mortgage or other encumbrance affecting City's Property, then City shall obtain from the holder of such encumbrance an agreement that Lessee shall not be disturbed in its possession, use and enjoyment of the Leased Premises. 18. WAIVER OF CITY'S LIEN. City waives any lien rights it may have concerning the Antennas and related communications equipment which are hereby deemed Lessee's personal 427262v2R7V CT160-162 9 property and not fixtures, and Lessee has the right to remove the same at any time without City's consent. 19. MISCELLANEOUS. A. Authoritv; Titie. City represents and warrants that it holds good and marketable title to City's Property, Leased Premises, and Tower that it has full authority to enter into this Agreement, and that any person or entity executing in a representative capacity for City has full authority to do so. Lessee represents and warrants that that it has full authority to enter into this Agreement, and that any person or entity executing in a representative capacity for Lessee has full authority to do so. B. Inte�ration Amendment. This Agreement supersedes all prior discussions and negotiations and contains all agreeinents and understandings between City and Lessee. This Agreement may only be amended in writing signed by all parties. All E�ibits are incorporated into this Agreement by reference. No provision of this Agreement will be deemed waived unless expressly waived in writing by the waiving party. No waiver shall be implied by delay or other act or omission of either party. No waiver by either party of any provisions of this Agreement shall be deemed a waiver of such provision with respect to any subsequent matter relating to such provision. C. Counterparts. This Agreement may be signed in counterparts by the parties hereto. D. No Assi�nment. Lessee may not assign or transfer this Agreement at any time or sublease a portion of the Leased Premises without City's prior written consent, which will not be unreasonably withheld, conditioned or delayed; provided however, that Lessee may assign its interest in the Agreement to Lessee's principal, affiliates, subsidiaries of its principal or to any entity which acquires all or substantially all of Lessee's assets in the market defined by the Federal Communications Commission in which the Property is located by reason of a merger, acquisition or other business reorganization. City may assign this Agreement upon written notice to Lessee. Notwithstanding the foregoing, Lessee may mortgage, pledge, hypothecate, or otherwise transfer an interest in this Agreement without consent to any financing entity to whom Lessee (i) has obligations for borrowed money or in respects to guaranties thereof, (ii) has obligations evidenced by bonds, debentures, notes or similar instruments, or (iii) has obligations under or with respect to letters of credit, bankers' acceptances and similar facilities or in respect to guaranties thereof. E. Attorneys Fees. The prevailing party in any action or proceeding in court to enforce the terms of this Agreement shall be entitled to receive its reasonable attorneys' fees and other reasonable enforcement costs and expenses from the non-prevailing party up to, but not exceeding, Five Thousand Dollars ($5,000.00). 427262v2RJV CT160-162 1 � F.
