sz�z�ilar reqi�est for its facilities at the Inwood water tawer and the Grangell'-Tadley water towez•,

The City has successfiilly �iegotiated tl�at t1�e retlt be increased by $�-,800 pex• yeax, whxch wi11
cofitinue to inflate azinually pi�x•suaxat to the escalatoz• o�' either �% or tli� CPI, whichever is
gz•eater.

This Amendment No, 1 to Site Lease Agreet��ent {this "A�nendment"}, effective as of the date last signed below ("�ffective
Dxte"), atrieuds a eei Site Lease Agreemetit between Sprint Spectrun� Realty CompaYiy, L.P., a Delaware limited partnership
{"TenanY'), successor in intar�st ta Sprint Spectrum L,P,, a Del�ware Izmited pal�tiiership, and City of Cottage Grove, a Minnesota
municipal coiporation City ("G`ity"), dated May 27, 2004, (the "AgreeinenY'),
BACI�GROUND
WHEREAS, City owns a certain water tanlc and associated faci(ities on a parcel of land Iocated at 81 Streat and Tnnsdate
Avenue South, Cottage Crrove, MN 55016 (the "Pro�erty'), and;
W H�RBAS, the Property is Iegapy described in LxhiUit A to the Agreem�nt, and;
WHEREAS, Tenant desires to establish a new �ber bacic hatal connection ta its Leasad Prenzises, alI as more ��articularly
described iu Exhibit �"�ber easemenY' attached hereto, and;
WHEREAS, Tenant and City c�esire to naodify the pravisiovs of tlie Agreement as provided 6elow.
AGRE�M�NT
For good and vahiable considexation the recei�t and su�eieney of which are acicnowledged, City and Tenant agree as
follows;
1. Fiber �asezz�ent, 'I'he Agxee�nent is amended by the addition nf a non-exclusive easenlent for installation and inaintenance
of buried fiber facitities providing a"back-haui" connection soteIy to the Leased Premises. Sncli easemeut is depicted in Exhibit �,
atfached hereto and made a part hereaf, [Jpon fiil( exectition af this Atnendmaut, Tenant is permitted to do all work t�ecessary to
prepare, rnaintain and install the foregoing fiber facilities,
2. Relocation; Ivdemnitv. If City reasonably dete�iines that tfle aasement interferes witii City's intended use of the Propei�ty,
City may require Tenant to remove and relocate ttie easement and faciiities located therein at its axpense to a suhstitute location on the
Propei�ty identified by City. Such substitute Iocation must not impair, interrupt or in any zz�anner alter the c�uality of communications
sezvice provzded from the Leased Premises. City nntst give Tenuit a# lsast niuety (90) days' written notice ta relocate. Tenant shall
ir�deznnify, defend, protect and hold harn�less the City and its einployees, offieers, directors and agents ftonl and against, and assumes
liability for any claim, suit, aetion, damages, loss, fine, jt[dgn�ent, costs and expenses (ii�eluding attorneys' fees) of auy kind or
character ("Claim") suffered by City arising out of, oaused by, or related to the easement or Tenant's installation, use, operatiou,
repaie, maiutenance or raplacemen# of facitities in the easement except to the extent any such Claim is the result of City's negtigence
or wiltft�l misconduct. NO'I'WI�'HS'I'ANDING ANY PROVISION TO THE CQNTRARY, CX'�'Y SHALL NOT BE LIABLE NOR
RESPONSIBLE TO TENANT OR ITS AFk'�I,IA'1'�S OR CUSTOMERS FOR ANY SPECIAL, INCZD�NTAL, iNDIRECT,
PUNITIVE OR CONSEQUBNTIAL COSTS, LIABILITIES OR DAMAGES, WHETHER FORESEEABLE QR NOT, INCLUDING
WITHOUT LIMITATION �CONOMIC LOSS OR LOST BUSINESS QR P�tOFiTS, INT�RRUPTION OF SERVICE DAMAGES,
OR ANY DELAY, ERROR QR LbSS OF DATA OR INFpRMATION ARISING IN ANY MANNfiR OUT O�, OR IN
CONNBCTION WITH, TH�S �ASBMENT OR THE FACILITIES THEREIN, Nathing herein shalt change or othet��vise affect the
liabi[ity Iimits estahlished under Minn. Stat, § 466.�4, as an3ended.
3. Modil"ication to �2ent, As additional covsidaratio�i for the modification and other rights set forfh in this Amendment, st�rting
on the date that is 30 da�s aftar tiie stai�t of constt�uction of the foregoxng �ber facilifies, the annual rent shali be increased by Four
Thousand Eight Hundred Dollars ($4,806,D0), partial years to be pz•o-�•ated. Rent shall continue #o escalate pursuant ta the terms set
fo��th in Seetion 4 of the Agreemeut.
