RE: Renewal by Andersen — Assessment Appeal Waiver for Stormwater Quality
Improvement Project
Background/Discussion
Renewal by Andersen has seen positive growth in their company and need to make
additions to their site to accommodate this economic expansion.
The first phase will include 20 additional parking stalls in the main parking area off of
Jamaica Avenue and construction of an expanded truck docking and storage area on the
west side of the property. The second phase is for expansion of the parking area parallel
to 100th Street, which would contain 82 parking stalls and a new drive lane to connect to
the existing main parking area. The company is anticipating constructing phase one
improvements in 2014 and phase two in 2015.
In 2015 they are also anticipating constructing the stormwater basin and piping necessary
to meet the rate and water quality standards. In order to allow them to construct the phase
one improvements without the stormwater basin, they would need to pay the off-site pond-
ing costs associated with the impervious surFace created. The company has indicated
their commitment to constructing the stormwater basin and have submitted the basin
design to the City. The proposed pond is fully compliant with all stormwater requirements.
To enable the company to proceed with construction of phase one, a financial agreement
is proposed to meet this obligation. The agreement is an assessment appeal waiver that
indicates that Renewal by Anderson has ten years to construct the necessary stormwater
pond improvements or pay the off-site ponding fee in the value of $14,248 at an interest
rate of 7 percent. The company is in agreement with this assessment appeal waiver. The
run-off from the new impervious surFace will not compromise any downstream facilities in
this interim state.
Recommendation
It is recommended that the City Council approve the City of Cottage Grove Assessment
Appeal Waiver Agreement for Land Located at 9900 Jamaica Avenue South for Storm-
water Quality Improvement Project.
CITY OF COTTAGE GROVE
ASSESSMENT APPEAL WAIVER AGREEMENT
FOR LAND LOCATED AT 9900 JAMAICA AVENUE SOUTH FOR
STORMWATER QUALITY IMPROVEMENT PROJECT
THIS AGREEMENT FOR AN ASSESSMENT APPEAL WAIVER ("Agreement") is
entered into and effective as of the �� day of CJCfu��, 2014, by and between the City of
Cottage Grove, a Minnesota municipal corporation ("City"), and Renewal by Andersen
Corporation, a Minnesota corporation ("Owner").
WITNESSETH:
WHEREAS, the Owner is the fee simple Owner of propei located at 9900 Jamaica
Avenue South, Cottage Grove, Washington County, Minnesota, which will be benefited by the
Project; and
WHEREAS, the Owner is mal�ing Pi7vate Improvements to the Property which will
activate the City's requirements for stormwater quality improvements on the Property (the
"Project"); and
WHEREAS, the Owner is responsible and willing to const� or install all stormwater
quality improvements on the Property in conjunction with its Private Improvements; and
WHEREAS, if the Owner fails to construct or install the stormwater quality improvements
on or before November 1, 2024, the Owner is willing to agree to the levy of the Assessment Waiver
Amount against the Property, which includes interest accrued at the Assessment Interest Rate to
pay for the cost of the Project; and
WHEREAS, since the Project will result a public benefit, if the Owner fails to complete the
Project on or before November 1, 2024, the City is willing to construct or install the Project,
provided that the Project is funded entirelyby the Owner through the levied assessment; and

in the manner authorized by Minnesota Statutes § 462.3 531 in rettu�n for the City's effoi�ts to construct
or install the Project.
NOW, TFIEREFORE, in consideration of the mutual promises and covenants of each to the
other contained in this Agreement and other good and valuable consideration, receipt of which is
hereby acicnowledged, the parties hereto do covenant and agree as follows:
ARTICLE I
THE AGREEMENT
Section 1.01 Purpose. The purpose of this Agreement is to memorialize the covenants and
agreements between the Owner and the City with regard to the Property and the Project including the
Owner's waiver of assessment appeal rights up to the Assessment Waiver Amount which constitutes
an estimated benefit pursuant to Minnesota Statutes, Chapter 429 in the manner authorized by
Minnesota Statutes § 462.3 531 in return for the City's efforts to facilitate the collection of funding for
the Project.
Section 1.02 Term. The term of this Agreement shall commence on the Agreement Date and
shall terminate upon the expiration of the completion of the Project.
ARTICLE II
DEFINITIONS
Section 2.01 Definitions. The following are tei�ns used in this Agreement. The meanings as
used an this Agreement sha11 be expressly indicated below, unless the context of this Agreement
requires otherwise:
(a) Agreement: This Agreement to memorialize the covenants and agreements between the
Owner and the City with regard to the Property and the Project including the assessment
appeal waiver provided herein pursuant to Minnesota Statutes, Chapter 429 in the manner
authorized by Minnesota Statutes § 462.3531.
(b) Agreement Date: The date written in the first paragraph of the Agreement.
(c) Assessment Date: The date that the City certifies the Assessment Waiver Amount to the
Washington County Auditor/Property Tax Assessor.
(d) Assessment Interest Rate: The special assessment levied against the Property shall accrue
interest at a rate of seven percent (7%) per year.
Assessment Amount: The Assessment Amount is Fourteen Thousand Two Hundred Forty Eight
Dollars and 00/100s ($14,248.00), which is commensurate with the estimated special benefit of the
Project to the Property. The Assessment Amount has been determined for the Private Improvements
Phase One in the amount of $14,248.00.

(e) Assessment Waiver Amount: The Assessment Amount multiplied by the Assessment Interest
Rate for the period of time between the Agreement Date and the Assessment Date, which is
approximately ten (10) years.

(g) Coun : Washington County, State of Minnesota.
(h) Owner: Renewal by Andersen Corporation, a Minnesota coiporation, 551 N. Maine Street,
Baypoi�t, Minnesota 55003.
(i) Private Itnprovements: The Owner is intending to construct the following Private
Improvements, based upon which the Assessment Amount has been calculated:
1. Phase One:
• Trucl�/Trailer Parlcing Addition with 13,970 square feet of new impezvious surface
� East Pallcing Lot Addition with 3,840 square feet of new impeivious surface
(j) Pro'ect: The water quality improvements, consisting of the construction or installation of
1,484 cubic feet of required treatment volume with an infiltration feature footpi7nt of 742
square feet for Phase One of Owner's improvements as outlined in Section 2.01 (j).
(k) Pro ei : The property located at 9900 Jamaica Avenue South, Cottage Grove, Minnesota
55016, (Washington County Property ID# 2102721340004) legally described in E�ibit A
which is attached hereto and made a part hereof.
ARTICLE III
COVENANTS AND AGREEMENTS
Section 3.01 Covenants and A�reements of the Owner. The Owner covenants and agrees
with the City that:
(a) Owner's Covenant to Construct Private Im�rovements: Owner hereby covenants and
wairants with the City that Owner will construct a11 Private Improvements on the Property.
Owner shall coordinate all permits and timing for such Private Improvements with the City
Engineer. If Owner does not construct or install all of the Private Improvements as defined
in Section 2.01 (j), the Assessment Amount in Section 2.01 (e) shall be recalculated
accordingly.
(b) Owner to Construct or Install Project: Owner agrees to construct or install the Project on or
before November l, 2024, or in the altei�ative, consents to allow the City to certify of the
Assessment Waiver Amount to the Washington County Auditor/Property Tax Assessor to

levy the Assessment Waiver Amount against the Property, to be collected with property taxes
for the Property so that the City may construct or install the Project. If the City const��ucts or
installs the Project, the Owner shall grant the City a Right of Entiy onto the Property in order
to complete the Project
(c) Assessment Appeal Waiver: If Owner fails to construct or install the Project as stated in
3.01(b), Owner hereby authoi�izes the City to certify to the Washington County
Auditor/Property Tax Assessor a special assessment against the Property up to the Assessment
Waiver Amount for Pxoject. The Owner hereby waives all rights to assessment notices,
hearings and appeals, and all other rights pursuant to Minnesota Statutes § 429.061, § 429.071
and § 429.081 for the special assessment against the Property up to the Assessment Waiver
Amount, which includes the calculation of the Assessment Interest Rate from the Agreement
Date to the Assessment Date. The Owner hereby waives any and all procedural and
substantive objections to the special assessment up to the Assessment Waiver Amount against
the Property, including, but not limited to, notice and hearing requirements and any claim that
any or all of the Assessment Amount against the Property exceeds the benefit to the Property
for the Project. The Owner acicnowledges and agrees that the benefit of the Project to the
Property does in fact equal or exceed the Assessment Amount. The Owner also acknowledges
and agrees that the Property receives a special benefit equal to or exceeding the Assessment
Amount.
(d) Cap�ed Amount of Assessment: The City and the Owner acknowledge and agree that the
Owner's waiver of assessment appeal rights pursuant to Minnesota Statutes, Chapter 429, is
capped at the Assessment Amount by operation of Minnesota Statutes § 462.3531. The City
and the Owner acknowledge and agree that the Owner may appeal any special assessment
above the Assessment Amount.
(e) Owner's Covenant Not to Sue the Citv: Owner hereby covenants with the City not to appeal
or sue the City for a court to set aside, reduce, repeal, or invalidate the levied assessment, or
for other relief from the payment of the City's levy of a special assessment up to the
Assessment Waiver Amount against the Property.
( fl Owner's Covenant that Owner is the Property's Fee Owner: Owner hereby covenants and
wai7ants with the City that Owner is seized in fee of the Propei�ty and has good right to
enter into this Agreement with the City.
Section 3.02 Covenants and A�reements of the City. The City covenants and agrees with
the Owner that: `
(a) Assessment Waiver Amount: If the Owner fails to complete the Project by November l, 2024,
the City agrees that the City will certify/levy a special assessment against the Property only
up to the Assessment Waiver Amount for the Project pursuant to this Agreement.
(b) Citv to Construct Project: If the Owner fails to complete the Project by November 1, 2024,

then following the certification of the Assessment Waiver Amount, the City agrees to
conshuct or install the Project on the Property pursuant to this Agreement.
(c) City Recordin� of this Agreement: The City will record this Agreement against the Proper
ARTICLE IV
DEFAULT
Section 4.01 Default. If a party to this Agreement materially defaults in the due and timely
performance of any of its covenants, or agreements hereunder, the other party may give notice of
default of this Agreement. The notice shall specify with particularity the default or defaults on which
the notice� is based. The notice shall specify a ten (10) day cure period within which the specified
default or defaults must be cured. If the specified defaults are not cured within the cure period, the
other party may pursue all remedies and sanctions available at law and in equity, including specific
perfoi�rnance.
Section 4.02 Attornevs' Fees, Costs and Expenses. The Owner agrees to pay the City the
amount of the City's assessment levy up to the Assessment Waiver Amount with accrued interest
together with the City's attorneys' fees, costs and expenses to defend the special assessment levy by
the City pursuant to this Agreement. The Owner acicnowledges and agrees that the Owner would be
unjustly enriched if the City's assessment levy pursuant to this Agreement was set aside, reduced,
. repealed or invalidated by a court with jurisdiction over the Property since the Owner requested the
Project and this assessment financing for the Project. The Owner agrees that the court with jurisdiction
over the Property shall award the City the assessment levy up to the Assessment Waiver Amount with
accrued interest together with the City's attorneys' fees, costs and expenses for breach of the Owner's
covenant not to appeal or sue the City.
ARTICLE V
. GENERAL PROVISIONS
Section 5.01 Notices. All notices, requests, demands or other communications required or
pei�nitted by this Agreement shall be in writing and delivery shall be deemed to be sufficient if
delivered personally or by registered or certified mail, return receipt accepted, postage prepaid,
addressed as follows:

Section 5.02 Non-Assi�nabilitv. Neither the City nor the Owner shall assign any interest in
this Agreement nor shall either party transfer any interest in the same without the prior written consent
of the other party.
Section 5.03 Bindin� Effect. This Agreement and the terms, conditions and covenants
contained herein and the transaction contemplated hereunder shall be binding upon and inure to the
benefit of the parties hereto and the respective successors, heirs, personal representatives, and
permitted assigns. This Agreement shall further be binding on subsequent purchasers of the Proper-ty
and shall run with the Property herein described.
Section 5.04 SeverabilitY. In the event any provision of this Agreement shall be held invalid
or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render
unenforceable any other provision hereof.
Section 5.05 Amendments, Chan�es and Modi�cations. This Agreement may be amended
or any of its terms modified or changed only by a written amendment authorized and executed by the
City and the Owner.
Section 5.06 Counterparts. This Agreement may be simultaneously executed in several
counterparts, each of which shall be an original and all of which shall constitute but one and the same
instrument.
Section 5.07 Entire Agreement. This Agreement shall constitute the entire agreement
between the parties and shall supexsede a11 pi�or oral or written negotiations.
Section 5.08 Notice to Buyers. The Owner agrees to notify and provide any buyer of the
Property with an executed copy of this Agreement if the Owner sells any interest in the Property
following the execution of this Agreement by both the Owner and the City, but before the recording
of this Agreement with Washington County Recorder andlor Registrar of Titles.
IN WITNESS WHEREOF, the City and the Owner have caused this Agreement to be
executed by the duly authorized representatives.
