GROVE-RAINBOW PROJECT An amended development agreement that was approved by the EDA and City Council for this project included a business subsidies section (Article V). The subsidy provided by the Economic Development Authority to the Developer • includes the construction of public improvements valued at $400,000 and reimbursing the developer for up to $500,000 of qualified costs. The estimated value of the subsidy is $900,000. The public purposes of the subsidy are to promote the redevelopment of a shopping center and construction of additional retail space in the City, generate spin-off development at a key location in the community, increase net jobs in the City and the State, and increase the tax base of the City and the State. BUSINESS SUBSIDIES In December 1999, City Council adopted a resolution establishing criteria for granting business subsidies (see copy attached). If you find that the project meets the criteria, at the conclusion of the public hearing, you should approve the resolution awarding business subsidies. PUBLIC NOTICE A notice as required by statute appeared in the May 1, 2002 edition of the official City publication (South Washington County Bulletin.) RECOMMENDED ACTION Hold the public hearing for the Grove-Rainbow project. After the public hearing is concluded, consider the attached resolution related to the project. • Attachments J:\Economic Development\EDA Memos\2002\May 02 Business Sub Grove RNBW.doc t F RESOLUTION NO. 99-204.1 RESOLUTION TO ESTABLISH CRITERIA • FOR GRANTING BUSINESS SUBSIDIES WHEREAS, the City of Cottage Grove is required by Minnesota Statutes, Sections 116J.993—116J.995 to adopt criteria for awarding business subsidies; and WHEREAS, the City Council conducted a public hearing at its meeting of December 1, 1999 for the establishment of a business subsidy policy required by state law to continue tax increment activity and other business subsidies offered by the City; and WHEREAS, the City of Cottage Grove has an established history of providing financial assistance and other business subsidies to private enterprises meeting certain public goals and objectives; NOW THEREFORE BE IT RESOLVED, that the following Business Subsidy Policy is hereby established in the City of Cottage Grove: Section 1. This Policy is adopted for purposes of the business subsidies act (the "Act"), which is Minnesota Statutes, Sections 116J.993— 116J.995. The terms used in this Policy are intended to have the same meanings as used in the Act, and this Policy shall apply only with respect to subsidies granted under this Act. Section 2. With respect to granting subsidies, the determination of the number of • jobs to be created and the wage levels thereof shall be guided by the following principles and criteria: A. Each project shall be evaluated on a case-by-case basis, recognizing its importance and benefit to the community from all perspectives, including created or retained employment positions. B. If a particular project does not involve the creation of jobs, but is nonetheless found to be worthy of support and subsidy, it may be approved without any specific job or wage goals, as may be permitted by state law. C. In cases where the objective is the retention of existing jobs, the recipient of the subsidy shall be required to provide reasonably demonstrable evidence that the loss of those jobs is imminent. D. The setting of wage and job goals must be sensitive to prevailing wage rates, local economic conditions, external economic forces over which neither the grantor nor the recipient of the subsidy has control, the individual financial resources of the recipient and the competitive environment in which the recipient's business exists. E. While the creation of jobs is a desirable goal, which benefits the community, it must be recognized that not all projects assisted with subsidies derive their • 1 public purposes and importance solely by virtue of job creation. In addition, the • imposition of high job creation requirements and high wage levels may be unrealistic and counterproductive in the face of larger economic forces and the financial and competitive circumstances of an individual business. In instances where a worthwhile project does not involve job creation, it may be approved for a subsidy, as may be permitted by law, with consideration given to the following: 1. Enhancing economic diversity by improving the mix of businesses in the area, providing essential customer services to the area, or generating a high level of secondary spin-off economic effects. 2. Stabilizing the community by investing in an area that is economically depressed, investing in an area with slum and blight conditions, or stimulating additional capital investment in real property, equipment, and/or infrastructure in the area. 3. Increasing the tax base by providing a positive impact on the short and long term tax base, or providing a positive impact on other local business and individual property tax bills. 4. The projects risk-reward ratio, with special consideration of the type of assistance requested and the current status of that specific tool or program. Section 3. Because it is not possible to anticipate every type of project which • may in its context and time present desirable community development and/or preservation goals and objectives, the City must retain the right in its discretion to approve projects and subsidies which may vary from the principles and criteria of this Policy. WHEREAS, the Grove-Rainbow Project is proposed to take place in Cottage Grove; and WHEREAS, plans call for the Grove-Rainbow Project to locate within the proposed Tax Increment Financing District No. 1-12; and WHEREAS, the Cottage Grove City Council held a public hearing on adoption of Tax Increment Financing District 1-12, and approved the creation of Tax Increment Financing District No. 1-12 on July 26, 2001 in accordance with Minnesota Statutes, Sections 469.124 through 469.134, and Minnesota Statutes, Sections 469.174 through 469.179; and WHEREAS, awarding business subsidies associated with Tax Increment Financing District 1-12 for the Grove-Rainbow Project is consistent with the City of Cottage Grove's Criteria for Awarding Business Subsidies, as adopted by Resolution No. 99-204.1, in accordance with Minnesota Statutes, Sections 116J.993 through 116J.995, as amended; NOW THEREFORE BE IT RESOLVED, the Economic Development • Authority of the City of Cottage Grove, County of Washington, State of Minnesota, approves awarding business subsidies associated with Tax Increment Financing District No. 1-12 for the Grove-Rainbow Project. The project reached • a critical juncture at the EDA meeting of January 15, 2002. At that meeting, the EDA passed a motion to "proceed with the resolution for eminent domain for commercial property only if the residential property owners accept the offers." The motion was adopted unanimously among the six members present at the meeting (Mr. Luden was absent). The homeowners did not accepttheCity's offer and responded with a purchase offer I believe of $2,490,000. Therefore at the January 16, 2002 Council meeting on a 5-0 vote Council voted to "abort the Kohl's development project due to residents declining monetary offer for property by the Economic Development Authority." Following those two meetings the City was contacted by the broker representing the homeowners requesting a meeting with the Mayor and staff to discuss the project and its' future. That meeting was held on January 29, 2002. At that meeting City representatives informed those present that we had aborted the project and would not be proceeding with efforts to resurrect an acquisition for that property. However, should the homeowners wish to proceed to market their property to the City or others the City would not stand in the way of that. However, given that their parcels were included in the project area in contemplation of a Kohl's project, it should not be unexpected that district boundaries could be amended given the failure of the Kohl's project. On February 27, 2002, City staff received an offer from the homeowners for $1,516,332. This was rejected on March 1, 2002. On March 10, 2002 Council discussed changing the boundaries of the Gateway District but failed to make any changes at that time. Given that the boundaries had not changed March 13, 2002, City staff suggested that a new offer from the homeowners perhaps was appropriate. The owners declined to visit a reduction in their previous offer at that time. After conferring with the Mayor and EDA President staff amended the prior offer to the homeowners on April 3, 2002 in the amount of $1,150,000 which also allowed for deeding back a remnant portion of the property upon completion of the infrastructure within the Gateway. On April 15, 2002, the owners accepted this offer contingent upon the City demonstrating that the remnant could become a developable parcel. Over the following two weeks staff worked to reconfigure that remnant in order to gain a development pad in the neighborhood of 6,000 square •Page 2 ■ feet on the remnant that would be created on the north side of the Kohl's project. We were successful in engineering a marketable parcel and hence directed the City attorney to initiate development of a purchase agreement contingent upon EDA, Council, and Kohl's approval. The homeowners have worked hard to get to a point where we believe we can recommend proceeding with this project. With this purchase agreement, we are able to stay within our ability to fund/finance the project. At the same time, the homeowners are gaining value for their property in a cash purchase and in land that achieves their goals. In order to do this they have to take on some development risk that they will be able to remarket the remnant parcel. However, I am comfortable that they will be able to do that, in fact I have requested that we be given an option back on that parcel should we be able to develop a subsequent project. Maps of this parcel as it relates to the Kohl's project and three different layout sketches are included in this packet for your review. It is expected that this parcel would be part of the rezoning action for the Kohl's project so that upon deeding it back to the owners it would have a commercial designation. The parcel would be adjacent to Hardwood where it will connect to East Point Douglas. At this location traffic counts are projected at 7890 ADT's. This compares to a count on East Point Douglas presently of 1,962 and on 80th Street at East Point of 21,249 ADT's. Hence, the parcel is significantly better placed than in its present condition from a traffic standpoint. I have also included for your review the financials on this project. We have had Ehlers and Associates update the TIF runs with our new acquisition costs and the market values expected from the Gateway projects and we are now comfortable that we can fund this project through tax increments and other available sources. Without the proactive attitude of the homeowners, this would not be the case. Given the above it is our recommendation that we proceed with this project. We would do so by a motion of the EDA authorizing purchase of property within the Gateway, including these parcels contingent upon the Kohl's project proceeding. The EDA had previously adopted a condemnation action on the other parcels contingent upon this acquisition moving forward. While we may be able to proceed with that prior action it would be our intent at this time to again approach the • •Page 3 commercial owners with purchase offers before exercising eminent • domain. Schroeder V(,/ CC: Mayor and City Council Date: 05/09/02 Re: Land Acquisition Opportunities • From time to time within the community, land comes up for sale that may fit within our short or long term development plans. When this occurs we invariably ask if the City/EDA should attempt to acquire the parcel or let the market determine future uses for the parcel. This question has been raised with more urgency over the past year or two given our redevelopment discussions and goals of ensuring certain types of development "looks" within redevelopment areas. Most recently the Langdon Auto parcel came on the market for $380,000 for a 2.5 acre parcel across the street from the Public Works garage (including an existing shop in what appears to be a post and beam structure as well as a residential structure that is leased out). Also currently listed is the property adjacent to the Burnet Realty building on 80th Street. This 2.48-acre parcel, currently homesteaded is zoned commercially and is listed at $380,000 as well. The first parcel would most likely be a buy and hold parcel, renting out the facilities in the interim waiting for redevelopment of the area probably in the 5 to 10 year timeframe. The latter parcel could be an office building site or a • relocation site for tenants within redevelopment project areas. It also • Page 1 would not be a bad location for the South Washington County south • service center. Funding for such an acquisition could be from the Economic Development Trust Fund or, if completed by the City General Fund could be from fund reserves. When thinking through this topic area it should be mentioned that the ED Trust fund certainly is not an unlimited source of funding. Further, with current redevelopment projects we are contemplating we could easily exhaust that funding source without taking on additional projects. Likewise, use of general fund sources could be perceived as investment risks that should not be borne by the general taxpayer. It should be noted that this agenda item is not limited to the discussion of the value of the above two sites, but more importantly the public policy issues related to the topic. On the one hand, purchasing property ahead of development pressures will undoubtedly lower our acquisition cost from what it would otherwise be if we had a project. Alternatively, there is a time cost of money that we may not be able to cover if we guess wrong on development timing. Further, we do have some control over developments through our land use and zoning controls absent our • financial involvement. If the Board is interested in proactively responding to land opportunities, we would ask that the discussion then become one of parameters and policy. In other words, what would you require in order to suggest that a particular opportunity is one to be pursued? What funding sources would be appropriate? What level of certainty in being able to turn the property would you require? What characteristics or location should the property have? Board Action: Based on discussion. S •Page 2 • Li F. By the end of 2004 all three intersections with Highway 61 in Newport will be gone and we will be travelling on a freeway through that community. Portions of the 494 project will also start this year. Invitations will be sent out for a June 10 ribbon-sutting ceremony. Bus Service/Park and Ride City staff has continued to meet with MNDOT and Met Council representatives to plan for the new park and ride facility. Washington County has joined these conversations, and the County Board was scheduled to discuss this topic at the May 7 meeting (but had to table discussion due to time constraints.) BACKGROUND/JUSTIFICATION The Hinton Avenue/Tower Drive connection (proposed CSAH 13) project, from just north of Military Road (CSAH 20) in Woodbury to just south of 65th Street (County Road 74) in Cottage Grove, was originally scheduled for construction in 2001. The original project proposal involved construction of a new four-lane divided roadway on a new alignment, a new traffic signal at Military Road and Tower Drive, and construction of a separated pedestrian/bicycle trail with future connections to the existing City trail systems. Federal funds amounting to $2.08 million dollars, plus additional federal funds to account for inflation at the time of letting, have been allotted to the project. Project History Five public meetings have been held to obtain comments from the public during the project development and environmental documentation phase of this project. An Environmental Assessment (EA)was prepared for the project in 1998, with a public hearing held on September 14, 1999. The EA included several alignment � Iternatives between 65th Street South and Military Road. The EA boundaries covered the range of ternatives being considered at that time. The state and federal processes resulted in the selection of the preferred alternative (Alternative 4), a Negative Declaration by the Washington County Board of Commissioners, and a Finding of No Significant Impact by the by the Federal Highway Administration. Subsequent to these approvals, the project limits were modified. These modifications were made during the detail design phase to address technical issues and because of specific requests made by the cities of Woodbury and Cottage Grove. For the last two years, the City of Woodbury, City of Cottage Grove and Washington County have been engaged in an ongoing process to resolve storm water drainage, transportation, and financing issues. S. further west to provide better intersection geometrics at Hinton Avenue. • New Glen Road and Tower Drive connections • Storm water ponds • Deletion of the four-lane segment north of Glen Road/Tower Drive and transition of the four-lanes segment to two-lanes between the Glen Rd./Tower Dr. intersection and 750 feet north of Military Rd. • Deletion of the traffic signal at the Tower Drive/Military Road intersection Cooperative Agreements with the Cities The City of Cottage Grove approved their participation in the project based on the expanded design to 70th Street South in January 2002. In addition, according to the cost participation policies, Cottage Grove has chosen Right-of-Way Variance Number 5, where the City will only pay 55% of the right-of-way costs, but in turn will incorporate all of the County's comments on plats adjacent to the County Road having to do with access spacing and controls, right-of-way dedication, drainage and wetlands, and internal street system connectivity. Cottage Grove's estimated participation is $634,800. The City of Cottage Grove also approved two jurisdictional transfer agreements. The City agreed to accept the jurisdiction of County Road (CR) 74 between Hinton Avenue and the east junction of CSAH 22. Conditions precedent to this transfer include the County reconstructing the portion of CR 74 lying approximately 0.2 miles west of and 0.3 miles east of its intersection with Hinton Avenue for an estimated cost of$510,000 and the County shall seal coat and complete minor maintenance repairs on the remaining portion of CR 74 being transferred. The City also agreed to transfer the jurisdiction of Hinton Avenue from CSAH 22 (70th Street) to 65th Street to the County. Conditions precedent to this transfer include that the City will fulfill their obligations to cooperate in the construction of the Hinton/Tower connection as described in the "Washington County/City of Cottage Grove Cooperative Agreement for County State Aid Highway 13 Construction Cost Reimbursement and Maintenance". Resolutions for the transfer of the roads are also included for approval. The County needs to process these resolutions first and then the City will be requested to approve similar resolutions. The City of Woodbury approved their participation in the project on March 13, 2002. They have also chosen Right-of-Way Variance Number 5. Woodbury capped their participation at $354,100. The City will also need to approve a resolution to designate the new connection as a County State Aid Highway. A summary of the participation amounts approved by the Cities in the cooperative agreements is shown in the attached Table. CC: Mayor and City Council Date: 05/08/02 Re: River Oaks Golf Course There has been a fair amount of interest in the golf industry over the past year. This I believe is due to the presumption that the metro area is over built, the poor season the industry had last year due to weather, and a few high profile bankruptcies / forced sales of courses such as has been reported in the Rick Born case. While River Oaks faired better than many area courses; we did not reach our income projections for the year. Enclosed for your review are two comparisons of the Course since its' opening in 1991. The first shows operating revenues through time. The second shows operating income and net income, again, since 1991. As you can see, revenues have increased steadily through the entire history of the course. As projected those revenues spiked upwards in 2000 with the opening of the banquet facility in April of that year. With the construction of the banquet facility came additional capital/depreciation/debt and operating expenses. At the same time, we continued to improve the operation generally with enhancements in our equipment, turf, and other facilities. Consequently, our operating position dropped significantly, as expected. We had expected, however, that the golf operation would carry the startup operation of the banquet facility to a greater degree than it did. Therefore, while we continued to •Page 1 i have strong operating income we did experience a small net loss for the • year of $17,170. The operation is not, however i5 a position of concern in that we have retained earnings after 2001 of $739,399 with current assets (cash equivalents) of$380,045. I have also included for your review line item revenues for 2001 as compared to the budget for the same year. Additionally, I have copied pages from the River Oaks WEB page, which shows program offerings for 2002. Through April 2002, our revenues are up 12.7%. The Clubhouse is up 178% from $32,246 to $89,735. The golf operation however is below target, again due to poor weather conditions with total revenues this year of$95,656, which is down from last year's level of$132,267 (a 28% decline). However, if May has any kind of decent weather at all the golf operation can turn around quickly. Even with the poor golf performance so far our total revenues for the operation are at $185,391 which is up from 2001 levels of $164,513. Note that the MEDP golf tournament will be Monday August 12. The Metro East Development Opportunities Conference was held on Wednesday, April 24. As stated in the Broadcast, over 250 people attended this event. Because we have • been approached to be a sponsor at this and similar events, I attended so that I could better assess whether sponsorship would be a good investment for Cottage Grove. I believe that being a sponsor would be worth considering. At this particular event, there was a focus on Metro East and over 250 people attended. Sponsors had tables for display and information, and were invited to sit in on panel discussions. Given that the City of Cottage Grove never came up during any panel discussion, it would have been nice to have been a sponsor and have the opportunity to speak and to distribute materials. I think we should seriously consider further opportunities such as this one, on a case-by-case basis.
