Wolfe, Assistant City Administrator Date: 02/09/01 Re: Election of EDA Officers Item 4B BACKGROUND Per the By-Laws you approved in September 2000, there needs to be an annual election of EDA Officers. The positions are as follows: President SVice-President Secretary Treasurer Assistant Treasurer Executive Director The Authority by also designates a Deputy Executive Director who shall perform the duties of the Executive Director in the absence or incapacity of the Executive Director. The Secretary and Assistant Treasurer need not be members of the Board. The President, Treasurer and Secretary shall be elected annually. Terms for those appointed Assistant Treasurer and Executive Director (and Deputy) could be on going until changes are necessary or recommended. Attached is the section of the by-laws referencing election of officers. ACTION Elect the positions of President, Vice-President, Secretary, Treasurer and Assistant Treasurer. Appoint the position of Executive Director (Deputy Executive Director optional.) 410 Attachment F:\GROUPS\PER_ECON\Economic Development\EDA Memos\2001\Jan 01 Officers.doc • BYLAWS OF THE COTTAGE GROVE ECONOMIC DEVELOPMENT AUTHORITY • • ARTICLE I-THE AUTHORITY Section 1. NAME OF AUTHORITY. The name of the Authority is the "Cottage Grove Economic Development Authority". Section 2. SEAL OF AUTHORITY. The seal of the Authority is in the form of a circle and bears the name of the Authority. Section 3. OFFICES OF AUTHORITY. The offices of the Authority are at the Cottage Grove city hall. Section 4. BOARD. The Authority is governed by commissioners(the`Board"), at least of whom are members of the Cottage Grove city council. • Section 5. STATUTORY AUTHORITY. The Authority is governed by the provisions of Minnesota Statutes,sections 469.090 through 469.1081 (the"Act"). ARTICLE II-OFFICERS Section 1. OFFICERS. The officers of the Authority are the President,the Vice-President, • the Secretary, the Treasurer, and the Assistant Treasurer. The Authority shall elect the President, Treasurer and Secretary annually and they shall hold office for a term of one year or until their successors are elected and qualified. The Secretary and Assistant Treasurer need not be members of the Board. Section 2. PRESIDENT. The President shall preside at meetings of the Authority. The President shall sign contracts, deeds and other instruments made by the Authority. The President may submit recommendations and information concerning the business, affairs and policies of the Authority at any meeting. At the annual meeting, the President shall submit to the Board a report summarizing the activities and programs of the Authority for the past year and containing the President's recommendations for Authority activities for the ensuing year. Section 3. VICE-PRESIDENT. The Vice-President shall perform the duties of the President in the absence or incapacity of the President. In case of the absence or incapacity of the President or vacancy in the office of President, the Vice-President shall perform the duties of the President until a successor has been appointed and qualifies. No person may serve as President and Vice-President at the same time. Section 4. SECRETARY. The Secretary shall keep minutes of all meetings of the Board and maintain all records of the Authority. The Secretary shall have custody of the seal of the Authority and shall affix the seal to contracts and other instruments authorized by the Authority. • - 10M-154711v1 I CT165-1 • The Secretary shall also have such additional duties and responsibilities as the Board may from time to time prescribe by resolution. Section S. TREASURER The Treasurer shall (i)receive and be responsible for Authority money; (ii)be responsible for the acts of the Assistant Treasurer; (iii)disburse Authority money by check only;(iv)keep an account of the source of all receipts, and the nature,purpose and authority of all disbursements; and (v) file the Authority's detailed financial statement with the Secretary at least once per year at the time set by the Authority. Section 6. ASSISTANT TREASURER. The Assistant Treasurer shall have the powers and duties of the Treasurer if the Treasurer is absent or incapacitated. The Assistant Treasurer shall deposit the funds in the name of the Authority in a depository selected by the Authority. The Assistant Treasurer shall keep regular books of account showing Authority receipts and expenditures and render to the Authority an account of the financial condition of the Authority. In the absence or incapacity of the Executive Director and Deputy Executive Director, the Assistant Treasurer, with the President, may sign contracts, deeds and other instruments made by the Authority. Section 7. EXECUTIVE DIRECTOR. The Authorit' shall employ an Executive Director who shall exercise general supervision over the administration of its business and affairs. With the President, the Executive Director shall sign contracts, deeds, and other instruments made by the Authority. The Executive Director shall be responsible for the management of the projects and general affairs of Authority, under the direction of the Board. The Authority may designate a • Deputy Executive Director who shall perform the duties of the Executive Director in the absence or incapacity of the Executive Director and carry out other tasks as delegated by the Executive Director. Section 8. EMPLOYEES; SERVICES. The Authority may employ a chief engineer, other technical experts and agents and other employees as it may require, and determine their duties, qualifications and compensation. The city council may, by resolution, place any employees of the city under the direction and control of the Authority or may authorize any employee of the city to devote a portion of the employee's time to Authority duties and determine what reimbursement, if any,the Authority %hall make to the city for use of its employees. The Authority may contract for the services of consultants, agents, public accounts and other persons needed to perform its duties and exercise its powers. The Authority may use the services of the city attorney or hire a general counsel for its legal needs. Section 9. ADDITIONAL DUTIES. The officers and employees of the Authority shall perform other duties and functions as may from time to time be required of them under these bylaws or by the Authority pursuant to resolution. Section 10. VACANCIES. If the office of President, Vice-President, Treasurer, Secretary or Assistant Treasurer becomes vacant,the Board shall elect a successor at the next regular meeting or at a special meeting called for that purpose. City of Cottage Grove • Memo To: EDA Members From: Scott Johnson, Management Intern 44,4.1 Date: 2/9/01 Re: 2001 Business Recognition Breakfast Item 4C The 2001 Business Recognition Breakfast was held;at 7:00 AM on Monday, January 29, 2001. The event was held at the 3M campus in Cottage Grove. This wonderful event was sponsored by the Cottage Grove Area Chamber of Commerce, the Cottage Grove Economic Development Authority, and the 3M Cottage Grove Center. Attendance at this year's event was better than expected. Ninety-two members of the business community sent in RSVP's. Of the ninety-two business and local leaders who sent in RSVP's sixty one attended. Also, thirteen more members of the local business community attended the event without an RSVP. According to our sign in sheet, seventy-four business and local leaders attended this event. The City of Cottage Grove was well represented at this breakfast. Fourteen members of the Cottage Grove staff attended this function The Cottage Grove Chamber of Commerce President Fred Luden provided an introduction and welcome. Mr. Luden also introduced City Administrators Larry Bodahl, City of Newport, Barry Sittlow, City of St. Paul Park, and Ryan Schroeder, City of Cottage Grove, who gave State of the City addresses for their respective cities. The morning concluded with Michele Johnson of Xcel Energy speaking about "Restructuring the Electric Industry." The 2001 Business Recognition Breakfast was a great success. Thank you to the Cottage Grove Chamber of Commerce, Cottage Grove Economic Development Authority, and the 3M Cottage Grove Center, who made this opportunity possible. Wolfe, Assistant City Administrator e(A) Date: 02/09/01 Re: EDA and Staff Vacancies Item 4D EDA As you know, Shannon Green has resigned from the EDA. The Mayor needs to recommend a new member for the duration of Shannon's term. The EDA vacancy was publicized and I've included copies of applications where interest was expressed in the 40 EDA. If you can determine a recommendation, staff will place it on the agenda for the City Council's February 21 meeting. Staff We received nineteen applications for the Management Analyst position vacated by Dan King. We will be interviewing five candidates, tentatively February 23. A decade ago, upon moving from Newport to Cottage Grove it seemed a logical step to continue being involved within our the communities. I often think back to a meeting at First Bank between Gus ' Bruget and I. He had a role with Cottage Groves's EDA at the time and I was the Youth r Service Bureau Board's President.. From his corner office of the bank we surveyed the vacant Harry T Sheldons/Woodys -property, as you know -well isolated from the highway as the result of the overpass project. What use could it become? Some use and purpose, we decided, where people would be willing to drive out of their way to get to it(,t?"�or Ci it.. We both were on the Youth Service Bureau Board at the time-and it hit us that ��, D housing for the YSB would be an ideal use. It could also have space to provide for other community uses. The Board agreed and we formed a Capital Campaign group and raised close to a half million dollars for its complete renovation/Looking back to my council terms in Newport, we addressed and prepared the communities first comprehensive plan. tJ ti W c cA We were most proud of resulting senior and upscale housing projects-being the Red --C/7/ .6146 •Rock Manor and Wild Ridge Estates, respectively. We also established a TIF District in P�`� the northern district to facilitate the extention of utilities. This work is in line with goals identified in the EDA Strategic Plan. Also included in your packet are some maps that illustrate the planning concepts discussed in the report. Toward achievement of that goal we have been working with the owners of the Grove Plaza shopping center to redevelop that particular center. However, at this time we believe we need further direction on EDA/Council redevelopment vision and the level of effort/risk the City is willing to put forth toward that vision. This request is brought to you at this time for the following reasons: 1. EBL & S has requested tax increment assistance to redevelop Grove Plaza (this project is elsewhere on this agenda) 2. The Langdon neighborhood has unofficially been designated as a potential redevelopment site with projects such as redevelopment of the Majestic, development of a commuter rail station, and development of community center space being mentioned. 3. We have been approached by a potential big box retailer looking for space within the community with suggested sites being near, but not at Grove Plaza or potentially in the Cottage Square neighborhood. 4. Non-profit developers including Presbyterian Homes, HSI, Washington County, and the Armory as well as various other Senior Housing developers have all suggested a potential interest in development/redevelopment sites within the community. Hence, we need your direction and advice. Toward that end we have begun development of four redevelopment districts. Maps with suggested redevelopment district boundaries are enclosed and labeled as follows: 1. Southwest Gateway, located in Thompson Grove at 80th/Grange totaling 165 acres and including the Armory, All Saints Church, the G-Will Center, Cottage Square Mall, South Communities Counseling Center, and nearby commercial and residential properties, right of way, drainage and park properties. 2. Northeast Gateway located north of Highway 61 at 80th Street totaling 103 acres including Grove Plaza, US Bank and the nearby commercial properties. 3. Langdon Square located south of Highway 61 east of Jamaica including all of the Langdon Subdivision north of the railroad • • totaling 77 acres (we may want to expand the district to both sides of the tracks). 4. Keats Corner located north of Highway 61 and west of Keats Avenue totaling 119 acres and including the VFW and Outdoor Theater sites. A redevelopment proposal within these districts would include an analysis of land use opportunities, acquisition, demolition, relocation, and redevelopment costs, timing, and tax value opportunities. We have just begun that exercise for discussion purposes which in conceptual terms reveals the following: 1. Southwest Gateway Current market value of$16,852,300 Estimated acquisition/relocation costs of$23,500,000 Market Value creation necessary for break even at $72,000,000 Development size to create market value of 1,300,000 square feet Single Floor coverage ratio to achieve value of 15 to 20% • 2. Northeast Gateway Current market value of$18,741,700 Estimated acquisition/relocation costs of$16,700,000 (N/I Grove Plaza) Market Value creation necessary for break even at $66,000,000 Development size to create market value of$1,200,000 square feet Single Floor coverage ratio to achieve value of 40 to 45% 3. Langdon Square Current market value of$4,963,600 Estimated acquisition/relocation costs of$3,800,000 (N/I Public Works Facility or Self Storage) Market Value creation necessary for break even at $13,000,000 Single Floor coverage ratio to achieve value of 8 to 10% 4. Keats Corner Current market value of$807,800 Estimated acquisition/relocation costs of$1,200,000 Market Value creation necessary for break even at $4,000,000 • Single Floor coverage ratio to achieve value of 20 to 25% The above four districts comprise 464 acres totaling 255 parcels with a total • market value of$41,095,400. For comparison purposes the Cub/Texaco site is 8.2 acres, 2 parcels and $3,573,100 in value. The Target, Target Mall site is 18.5 acres, 10 parcels and $8,624,800 in value (Target itself is $5,149,000 of the above value). It should be noted that site coverage ratios noted above cover all of the district land as identified including right of ways and properties that might not ultimately be included within any near term development phasing. It should also be noted, however, that the ratio assumes single floor developments, which for any housing and possibly office uses that would likely be multi-storied development. It should also be noted that for the above number generation we did not evaluate, to any great degree, the propensity for existing structures to remain subsequent to a redevelopment. For instance, the'Fire Station is located in the Southwest Gateway District. For purposes of the math we assumed removal of that facility. In reality it is most likely that any redevelopment project would work around that building. The same could be true for many 410 residential structures identified on the map for that district. As far as potential process I would suggest the following: 1. Identify EDA and Council goals/impressions/directives for alterations in the above. 2. Revise any assumptions impacted by #1 3. Initiate a site planning/land use process 4. Receive market analysis/development advice from development community 5. Development of Request for Proposal Process 6. Publish RFP's for a chosen redevelopment district and phase of the district if appropriate 7. Receive development/redevelopment proposals and grant preferred development status to single developer 8. Enter development phase including creation of TIF Redevelopment District or Abatement District, negotiate development agreements, initiate acquisition/demolition process, site plan review and development approval 411 The above process would include property owner, neighborhood, Commission, EDA and Council participation within each step (the above is a summary of the specific development process). The estimated property tax bill for a development of that value would be approximately $120,000/year at 2001 tax rates. Acquisition costs for your project could vary dramatically based upon your requirements for highway visibility or other site characteristics. For budget purposes, however, in Cottage Grove a per acre acquisition cost of$50,000 for bare land should be sufficient. Additionally, we typically budget $0.65/square foot of land for site development, any minor road improvements and utility extensions. This cost could also vary dramatically from one site to another. As you know, we have discussed potential redevelopment of the Langdon neighborhood. Your project could be a good candidate to either initiate, or ID become a part of a larger redevelopment opportunity. For discussion EQUAL OPPORTUNITY EMPLOYER • purposes we have put together two different site layouts which I have included here. Both are 22-acre parcels and follow existing property lines. Both would result in acquisition of existing homesteads. My initial estimates for acquisition costs range from $1.5 to $2.1 million. Depending upon the ultimate development plan, phasing, and integration with other development opportunities the City may be interested in participating toward a portion of those acquisition costs. A concept plan has been created for the Park with trails, seating nodes, and landscape plantings. As businesses locate in the park, the City has insured ultimate development of the trail system by obtaining easements to facilitate trail installation. Individual business landscape plans have been reviewed with an eye to the overall plans for the area. As a kick-off to the parkway creation, the City has ordered seedlings for planting within the Industrial Park. It is hoped that the City, with businesses in the Park, would spend a day installing the seedlings, similar to some of the planting programs along Highway 61. The idea is that the "Planting Day"would be a celebratory event, where agents of the community would come together to beautify a portion of the City. In order to achieve this goal, staff is asking that the Parks Commission host the Planting Day. What this means is that invitations to businesses would be from the Commission and if possible, Commission members would volunteer at the event. Most likely Planting Day would take place on a Friday with city staff and business employees volunteering for either a morning or afternoon shift. The City would provide any necessary equipment and snacks would be served. The exact date of the activity is, as yet, undetermined. Additional information will be provided to the Commission at your next meeting. Should this planting event be well received, staff is interested in expanding the program to include receipt of specific donations and perhaps installation of commemorative plaques in recognition of any business donations. The meeting, held at River Oaks, was designed to inform the real estate community about what is happening in Cottage Grove, and to introduce them to some key staff members. Attached is a thank-you note that we received from Edina Realty following the event. In 2001, we will likely plan a similar event. Staff has investigated the possibility of 111 arranging for CEU's to be awarded to the Realtors who attend, to be credited towards certification requirements for their real estate license.
