The City has received 37 leads year-to-date. Staff will provide a verbal update at the meeting. The City received eight new inquiries since your October EDA meeting, which is probably the busiest month we have had for new inquiries in 2001. Staff will be able to provide a current update on the status of various real estate closings and other building activity at the EDA meeting. Both the hotel project on East Point Douglas and Semper Development's project on the Rose of Sharon Property have closed as of this writing. At the last EDA meeting, there was a request to see the Hardwood Avenue feasibility study. The study is part of the overall Gateway Redevelopment feasibility study and is still in progress. We will provide that to you when it is complete. PLANNING COMMISSION UPDATE: The Planning Commission reviewed three re-zoning requests at their October 22 meeting. All three properties are located in the Hardwood Avenue project area. These requests were not recommended for approval. Community Development is working with the City Attorney to provide some general information for the Council and Commission regarding condemnation and how appraisals are developed. These rezoning requests will be on the City Council agenda for the November 20 meeting. Two cases were continued from the August 27 meeting and are planned for the November 26 meeting. Those include Thompson Land Development's and Mike Rygh's applications for a PUD to develop the northwest corner of 70th Street and Hinton Avenue. At this time, we are requesting that Mike Wennen be considered for the vacancy. 0 Attached is Mr. Wennen's application for the EDA, as well as a copy of his resume. Some of these efforts are discussed below. 111 DEVELOPMENT UPDATE The attached "Development Update 2001" was originally developed for the City's annual All-Employee Meeting. Then it was modified for the Metro East "Connections" event. At this time staff feels it can serve as a good informational piece for other general marketing and promotional opportunities. If the EDA has any input regarding the content of the document, we can make changes and modifications. BIOGRAPHY BROCHURE As you know, staff has been working to develop a marketing brochure that highlights the experience of our elected officials and staff. We think there is much to promote on our "Economic Development Team" and want to use this piece in a number or ways. At this time we are looking for a final review before we print up the brochures. DIRECT MAIL CAMPAIGN As you know we have had a series of post cards as part of a direct mail campaign. In order to get a sense of the theme and message we've been trying to promote in this campaign, we are including a full set of each of the postcards in your packet for review. In addition, we recently spent some time taking a new set of photographs. This time, we included Community Development staff. A copy of these photos will be included for EDA members in their packet. We are asking for your input in two ways: (1) Input as to which pictures you think are good and which ones you think are not so good and should not be used; and (2) possible "captions" or"tag lines". Some of these will be used for F:\Groups\PER_ECON\Economic Development\EDA Memos\2001\Nov 01 Marketing.doc Economic Development marketing and some possibly for housing/development marketing. Themes we are trying to promote include the following: • We are proficient and easy to work with, "Growth Partners" • Cottage Grove is a great community and a classy community • Many good things are happening in Cottage Grove, it is the place to be Any and all ideas are welcome as we work to develop a 2002 direct mail and advertising campaign. ANNUAL REPORT We are getting an early start on the 2001 Annual Report. A 2000 Annual Report is included in your packets for reference. If you have any suggestions as we begin working on the 2001 report, we would welcome them at this time. S \\CG_FS2\CG_FS2_MAIN\Groups\PER_ECON\Economic Development\EDA Memos\2001\Nov 01 Marketing.doc of Cottage Grove Development (Jpclate 2001 2001 has been a fairly active year in the development area with $60,236,214 in building permit value for the first nine months of the year. Included are 121 residential units with a value of$18,385,437 and residential remodeling projects totaling $10,613,808 in value. We have also had $10,880,819 in commercial/industrial permits so far this year as well as a banner year for educational and institutional projects at $20,136,150. Construction activity during this period also included a$220,000 agricultural permit. Earlier this year the City Council declared four major areas of emphasis in the development area. These goals are attached and include directives for commercial/industrial and housing projects as well as improvements to public facilities. In addition, support for the Wakota Bridge/Highway 61 project continues to be a high priority. In having set these priority areas Council was mindful of the need to achieve a balance of land uses, community aesthetics, high quality transportation corridors and connections, park and recreation facilities and offerings, quality jobs and public services in an effort to maintain a high degree of livability within the community. We have had the opportunity to work on a number of development projects as noted above that provide opportunities to continue to create desirable places and amenities for the citizenry of Cottage Grove. Following is a brief description of projects currently in the pipeline within the community. ountry Inn and Suites Hotel This is a project that we initiated early in 1999. The Country Inn and Suites is an upscale limited service hotel concept franchised by the Carlson Companies(who also owns Radisson Hotels,TGI Friday's restaurants, and Carlson Wagonlit Travel Agencies). Proposed is a 65 room three story hotel, which will include an indoor swimming pool and spa as well as a meeting room capable of accommodating up to 45 people. The structure will be about 40,000 square feet located adjacent to the School District Program Center on East Point Douglas Road on a 3.1 acre undeveloped parcel currently owned by the School District. The Hotel will employ a staff of about 25 full and part time persons. The total development cost will be about$3 million. In order to facilitate this project the City worked with the developer and the School District to negotiate the purchase agreement on the land. Included was a provision that the School District would acquire a 4 acre parcel of property on West Point Douglas for expansion of the current bus garage with the proceeds from the $400,000 sale of the Program Center property. The City also negotiated the purchase agreement for the bus garage parcel on behalf of the School District. This portion of the transaction has closed and the bus garage expansion is currently underway. The Hotel portion of the transaction is currently scheduled to close by mid October with some construction facets to begin yet this year. A pad for an approximate 5,000 square foot future restaurant is included within the development proforma and approvals. iii 04 an don Neighborhood Development g g P Langdon, located at the southeast quadrant of Highway 61 and Jamaica Avenue is one of the earliest settlements in Cottage Grove with platting occurring concurrent with development of the railroad around 1870. It is currently home of the Historic Old Town Hall, the Public Works facility, a self storage business, an auto repair business, the Majestic Antiques (Majestic Ballroom)property,the old School house presently a union hall and meeting facility, and about a dozen homes. There have been a number of development discussions over the past few years (including the expansion of the public works facility in 1997 and construction of a new salt storage facility at that same location this year). The Majestic Antiques has been the focus of many of those discussions with several different parties purchasing or optioning that property over the past few years (in fact the City was negotiating for a portion of that property early in 2001). There have also been discussions regarding development of a park and ride facility in Langdon with a proposal brought to the City Council in June of this year. So far, the only changes that have occurred in Langdon recently is that the City purchased undeveloped property behind the Majestic Antiques on September 20, 2001. This property will be held for future development opportunities. At a total outlay of $99,105 for the 8.255 acres if nothing else the property becomes a good investment of the Economic Development Trust fund which paid for the property (the Trust Fund is a restricted account which receives grant funds specifically for economic development purposes). Meanwhile the Metropolitan Council continues to work on development of a Park and Ride facility, which may or may not eventually locate within the Langdon neighborhood. The Met Council currently has a 15 to 18 month lease on the parking lot at the Rodeo on West Point Douglas while they pursue a long-term location. ndustrial Park While the City has designated the land south of Highway 61 and west of 3M as the Cottage Grove Industrial Park for decades development of the Park really did not start until 1997 when the EDA optioned 40 acres using excess tax increment proceeds. As a result of that option we were able to compete for, and win, the development of the 227,000 square foot Renewal by Andersen facility in 1998 on 30 acres at Jamaica and 100th. This was followed by construction of the USPS Annex facility on about 3.5 acres and the 15,000 square foot (expandable to 27,000 square feet) CCE Technologies on a 2.21 acre parcel along 95th Street in 2000. In 2001 we are developing three projects along 97th Street west of Jamaica. The first is the corporate office and distribution facility for Trade Home Shoe Stores. They are currently located in the St. Paul Midway in leased premises. The 70,000 square foot facility is located on 4.59 acres and will have a market value of at least $1,750,000. The building will be completed late fall and they will move their operation to this location in January. The second is the new home for Advance Corporation. This 42,000 square foot building is located on 6.6 acres west of Trade Home. Advance currently is located in the Williams Hill area of St. Paul in a building they own and a second leased facility. This project allows them to consolidate their operation in an effort to increase operational efficiencies. The site is configured for future expansions that will allow the building to double in size. The project will have a market value of at least$1,760,000. Advance will move into their new building this fall. IP Next to Advance, along 97th Street is the new distribution and office facility for American AgCo. AgCo's distribution facility is currently located in Inver Grove Heights. They need to expand but cannot do so in their existing facility, which they lease. Their corporate office is in South St. Paul. We are not aware of any plans to move that office to the Cottage Grove location;however, this facility is constructed in a manner that would allow that to occur should business needs necessitate such a move. This 81,000 square foot project is located on 5.97 acres and has a market value of at least $2,900,000. Grading for this project began mid September for January occupancy. As part of the AgCo project we are building a 1200 lineal foot extension of 97th Street as well as a significant storm water-holding facility. These operations allow us to also grade and fill the AgCo site, somewhere around 5 to 7 acres adjacent to AgCo to the west, and the 8 acre parcel east of CCE on 95th. As a result we will have additional parcels prepared for future development projects. At the same time, however, the State amended tax law which negatively impacted our expected tax increment revenue streams, which pays for infrastructure and land purchase. Hence, it is expected that future projects will be more difficult to assist than in the recent past. New construction at the 3M complex has been light with only 14,000 square feet brought into the site. However, various remodeling projects throughout the Campus continue to occur. A project started years ago, replacement of the incinerator, is on its final phase. The new incinerator has passed all testing and the old equipment will be dismantled over the next several months. 111 9ateway Redevelopment ment District The City created the 375-acre Gateway Redevelopment District located at Highway 61 and 80th Street in 2000. The intent of this designation is to signal to property owners, and others, the City's intent to pursue redevelopment activities within the district as opportunities appear. Further, the City created a smaller tax increment redevelopment district in a portion of the Gateway area in order to provide a financing mechanism for public expenditures associated with contemplated redevelopment activities. Up to this point we have actively been working with the Grove Plaza Shopping Center, Semper Development/Rose of Sharon, and property owners along 80th Street between Tutor Time and US Bank on three different development projects. At Grove Plaza we have actively been working on redevelopment proposals since early 1999. The Plaza owners had entered into a lease agreement with Regal Theaters and as a result terminated leases with some of their tenants. Regal then experienced liquidity problems and backed out of the deal. The Plaza found itself with vacant space as a result. They approached various big box retailers and ultimately struck a deal with Home Depot. The Home Depot project, however, is dependent upon Walgreen's relocating to some other site. If that in fact happens,Home Depot will build about a 90,000 square foot building in place of a large amount of the existing shopping center (Home Depot will take fee title to about 10 acres of property as well). The remaining interior mall will be rehabilitated, a fueling station will be located where the Burger King building currently is and a large storm holding pond will be constructed adjacent to that. The entire project will result in an enhancement in market value from about$7 million up to at least $10.5 million. The City will construct the stormwater holding facility and contribute toward some of the renovation costs for the Center. The City is not contributing to the Home Depot project itself. Funding for City expenses is from the storm water fund and tax increment proceeds. Construction is expected next March. Semper Development has been attempting to purchase the Rose of Sharon Church since 1992. They have been negotiating in earnest since 1999 and had entered into a purchase agreement for $3.5 million for the 5-acre site. Ultimately that purchase agreement did not move to closing and we were able to work with representatives of the Church and Semper to resurrect that deal which resulted in a new purchase agreement that is due to close by mid October. It will result in construction of a 14,490 square foot Walgreen's store on the corner of 80th and Point Douglas. Also expected is a 5500 square foot banking facility and a 4500 square foot restaurant. The completed project is expected to have a market value of about $2.8 million. The City is constructing new storm water holding facilities and utility extensions in order to facilitate these projects. Most of those costs will be assessed back to the end users with a small amount provided by Area Funds. Construction activities are expected in October. The City has been negotiating with Kohl's Department Stores to locate a facility in Cottage Grove since early 2001. The site between US Bank and Tutor Time is their preferred location at this time. This is a very complicated project that includes the purchase of three commercial buildings, two vacant commercial parcels, and the use of remnant residential parcels created from the proposed Hardwood Avenue MSA project. It also will result in significant site grading in order to provide the retail pad. That grading is the responsibility of the end user but it all relates to where and how we construct Hardwood Avenue which is the new collector connecting 80th with 70th Street in that part of town. Removal of the existing structures is planned for next spring with site grading following in June 2002. There have been ongoing rumors that the City will be acquiring the Cottage Square and G-Will Shopping Centers for redevelopment projects. While some day that could potentially happen we 11) don't have any plans of that sort at the moment and are not in negotiations with any developers for projects at those locations. Scattered Site Commercial Projects Recently the new 19,720 square foot Office Max facility opened at the corner of Jamaica and 90th Streets. Also, behind Target and next to Menards is located the mixed use Pine Grove development that includes five commercial pads the first two of which have been completed. At present the 15,037 square foot northern warehouse/showroom building has two tenants and the 8,010 square foot southern office building has one tenant. Two of these three tenants relocated from the Cottage Square Shopping Center. This past year there was another mixed-use project approved at the corner of CR19 and 70th Street known as Almar Village. Included within this development are a strip mall and three additional freestanding building pads totaling 28,850 square feet of retail space. It is expected that one of the pads will be a gas station/convenience store. Grading for this project is currently underway. We are expecting a project proposal similar to Almar Village for the intersection of Hinton and 70th Street yet this fall. The item has been before the Planning Commission and was continued to allow additional reworking of the plans. Proposed retail is estimated at 29,000 square feet and also includes a senior housing component. If approved by Council the project could potentially result in a spring 2002 construction date. • public, Non Profit, Institutional Projects Due to the bond referendum passed by the School District, there have been 10 school related construction projects over the last two years. Crestview, Hillside, Pinehill, Grey Cloud and Armstrong Elementary Schools have all experienced some minor expansions of classroom space. Additionally, a new elementary school, located in the West Draw south of 65th Street, is underway with an opening date of fall of 2002. These elementary school projects represent 120,657 square feet of new construction. At Park High School, interior remodeling is expected as well as a 57,111 square foot field house addition on the east side of the building. Relocation and expansion of tennis courts and modification to school parking lots, creating additional parking for students, was also part of the site design. The District also initiated changes at the Transportation Center by adding a 3,900 square foot office and slightly increasing the bus garage facility. The United State Postal Service constructed an 11,360 square foot carrier annex facility within the Industrial Park. Construction began in 2000, with completion of the project occurring this year. Roadway/Infrastructure Projects The two major projects that will impact Cottage Grove over the next few years are the Washington County Hinton/Tower project and the MnDot Wakota Bridge/Highway 61 improvement. Additionally, the City will begin the next 3-year phase of the pavement management program in 2002. The Wakota Bridge project will have facets bid starting as early as December 2001. The project will include reconstruction of Trunk Highway 61 from Carver Avenue in St. Paul to St. Paul Park Road in St. Paul Park. All three of the signalized intersections within Newport will be removed in favor of a new interchange near Glen Road. North of 494 the existing signal at Highway 61 and Carver Avenue will be replaced with a right-out to northbound 61 only with a new interchange at a new Maxwell Avenue/Bailey Road connection. All of this will upgrade highway 61 to freeway standards within the entire project area. 1-494 will be reconstructed and widened from Concord Street in South St. Paul to Lake road in Woodbury. The result will be two bridges that will effectively double the number of traffic lanes in this part of 1-494 with reconstruction of the existing interchanges at Hardman,Maxwell, TH61 and Bailey Road. The entire Wakota/61 project will be completed by the Fall of 2007. The most significant work related to Highway 61 will be complete by the end of 2003 with the St. Paul Park interchange completed one year later. The Hinton/Tower project is being developed by Washington County with $2,400,000 of the funding from a Federal Grant approved over a year ago. Additional funding is proposed from both Cottage Grove and Woodbury with the balance, from Washington County and State Aid funds. The City of Cottage Grove has agreed in concept to providing its$600,000 funding share. Woodbury has not yet provided the same approval. This 2002 project will reconstruct Hinton Avenue between 70th and 65th Streets with a new extension of that roadway to the north into Woodbury where it will connect to Tower Drive at Military Road. Planning is currently underway to reconstruct all of the local roadways south of Highway 61 in the Thompson Grove subdivisions. This $8 million project will be phased over three years and include new street light wiring, new signage, new storm sewer in portions of the neighborhood and some new infrastructure by other utilities (Xcel Energy and Media One). As mentioned earlier we are also preparing to construct a new MSA collector referred to as Hardwood Avenue. This roadway will connect 80th and 70th streets just west of City Hall. The City began right of way purchase for this 3000 lineal foot roadway in 1998. Council will consider the feasibility study on October 17 for an expected construction start date perhaps as early at April 2002. Sanitary Sewer Interceptor/Treatment The Metropolitan Council Environmental Services Division (MCES) provides wastewater treatment for the entire metro area. One of the nine metro treatment facilities is located in Cottage Grove on a land parcel within the 3M Cottage Grove campus off 110th Street east of Ideal Avenue. This 2.5 million-gallon per day (mgd) facility is currently under reconstruction resulting in a 10 mgd capacity by 2003 with an ultimate capacity projected at 15 mgd upon completion of the project. At the same time the MCES is planning a new interceptor to run down CR 19 in Cottage Grove from the middle of Woodbury to the new Treatment Plant. This interceptor, scheduled for completion in 2003 will provide the opportunity to consider urban development between CR19 and Kimbro Avenue in Cottage Grove. 5ubdivision Development 11) 2001 brought a continuation to projects started in 2000. Additional platting occurred in the Pine Summit, Hidden Valley, and Timber Ridge subdivisions. In total 100 new single family lots were created. Recent residential activity has centered more on the attached housing style. Three larger townhouse projects, including Pine Glen(behind Menards)with 124 units,Almar Village(at 70th and Keats) with 38 units, and Lodges at Pine Summit (east of the West Draw water tower) with 140 units,were approved this year. All three of these projects have started and experienced some home construction by the fall of 2001. Total residential building is less than experienced in previous years with 121 new dwelling units constructed to date. This is at a pace substantially reduced from prior years with home construction during the decade of the 1990's averaging 308 units per year. The average building permit value of new single family homes has continued to increase with the average being $194,000. The average permit value for new attached housing is $92,300 per dwelling unit. Two new residential plats are proposed at 70th Street and Hinton Avenue. The current proposal is for 184 lodge units (multi-family attached housing), 44 townhouses and 72 twinhomes. Based upon the developer's expectations, all proposed housing styles should be valued higher than the current City averages. A rural residential plat, consisting of 24 acreage lots is also up for review, with the property located west of the current Hidden Oaks rural neighborhood. There were a few changes made to the document as presented to Council. 1. Council approved an additional sentence in Article II, Section 2, to read as follows: "The President shall be a Council representative." 2. Council approved a change to the first sentence of Article II, Section 7. "The Authority shall may employ an Executive Director who shall exercise general supervision over the administration of its business and affairs." Attached is a copy of the EDA Bylaws as approved by the City Council. As you know the Bylaws state that the Authority shall elect the President, Vice President, Treasurer, and Secretary annually. Therefore, we will plan to hold those annual elections at the January meeting. Also, Article III, Section 5 provides an outline for the order of business at EDA meetings. We will be working to implement this in future agendas. NAME OF AUTHORITY. The name of the Authority is the "Cottage Grove Economic Development Authority". Section 2. SEAL OF AUTHORITY. The seal of the Authority is in the form of a circle and bears the name of the Authority. Section 3. OFFICES OF AUTHORITY. The offices of the Authority are at the Cottage Grove city hall. Section 4. BOARD. The Authority is governed by seven commissioners (the "Board"), at least two of whom are members of the Cottage Grove city council. Section 5. STATUTORY AUTHORITY. The Authority is governed by the provisions of Minnesota Statutes, sections 469.090 through 469.1081 (the"Act"). ARTICLE II - OFFICERS Section 1. OFFICERS. The officers of the Authority are the President, the Vice-President, the Secretary, the Treasurer, and the Assistant Treasurer. The Authority shall elect the President, Vice President, Treasurer and Secretary annually and they shall hold office for a term of one year or until their successors are elected and qualified. The Secretary and Assistant Treasurer need not be members of the Board. Section 2. PRESIDENT. The President shall preside at meetings of the Authority. The President shall sign contracts, deeds and other instruments made by the Authority. The President may submit recommendations and information concerning the business, affairs and policies of the Authority at any meeting. At the annual meeting, the President shall submit to the Board a report summarizing the activities and programs of the Authority for the past year and containing the President's recommendations for Authority activities for the ensuing year. The President shall be a Council member. Section 3. VICE-PRESIDENT. The Vice-President shall perform the duties of the President in the absence or incapacity of the President. In case of the absence or incapacity of the President or vacancy in the office of President, the Vice-President shall perform the duties of the President until a successor has been appointed and qualifies. No person may serve as President and Vice-President at the same time. Section 4. SECRETARY. The Secretary shall keep minutes of all meetings of the Board and maintain all records of the Authority. The Secretary shall have custody of the seal of the41111 1 • Authority and shall affix the seal to contracts and other instruments authorized by the Authority. The Secretary shall also have such additional duties and responsibilities as the Board may from time to time prescribe by resolution. Section 5. TREASURER. The Treasurer shall (i)receive and be responsible for Authority money; (ii)be responsible for the acts of the Assistant Treasurer; (iii) disburse Authority money by check only; (iv) keep an account of the source of all receipts, and the nature,purpose and authority of all disbursements; and (v) file the Authority's detailed financial statement with the Secretary at least once per year at the time set by the Authority. Section 6. ASSISTANT TREASURER. The Assistant Treasurer shall have the powers and duties of the Treasurer if the Treasurer is absent or incapacitated. The Assistant Treasurer shall deposit the funds in the name of the Authority in a depository selected by the Authority. The Assistant Treasurer shall keep regular books of account showing Authority receipts and expenditures and render to the Authority an account of the financial condition of the Authority. In the absence or incapacity of the Executive Director and Deputy Executive Director, the Assistant Treasurer, with the President, may sign contracts, deeds and other instruments made by the Authority. Section 7. EXECUTIVE DIRECTOR. The Authority may employ an Executive Director who shall exercise general supervision over the administration of its business and affairs. With the President, the Executive Director shall sign contracts, deeds, and other instruments made by the Authority. The Executive Director shall be responsible for the management of the projects and general affairs of Authority, under the direction of the Board. The Authority may designate a Deputy Executive Director who shall perform the duties of the Executive Director in the absence or incapacity of the Executive Director and carry out other tasks as delegated by the Executive Director. Section 8. EMPLOYEES; SERVICES. The Authority may employ a chief engineer, other technical experts and agents and other employees as it may require, and determine their duties, qualifications and compensation. The city council may, by resolution, place any employees of the city under the direction and control of the Authority or may authorize any employee of the city to devote a portion of the employee's time to Authority duties and determine what reimbursement, if any, the Authority shall make to the city for use of its employees. The Authority may contract for the services of consultants, agents, public accounts and other persons needed to perform its duties and exercise its powers. The Authority may use the services of the city attorney or hire a general counsel for its legal needs. Section 9. ADDITIONAL DUTIES. The officers and employees of the Authority shall perform other duties and functions as may from time to time be required of them under these bylaws or by the Authority pursuant to resolution. Section 10. VACANCIES. If the office of President, Vice-President, Treasurer, Secretary or Assistant Treasurer becomes vacant, the Board shall elect a successor at the next regular meeting or at a special meeting called for that purpose. The successor serves for the unexpired term of the office. 2 ARTICLE III -MEETINGS Section 1. ANNUAL MEETING. The annual meeting of the Authority shall be held on the second Tuesday in February at 7:30 a.m. at the regular meeting place of the Authority. Section 2. REGULAR MEETINGS. Regular meetings shall be held without notice at the offices of the Authority on the second Tuesday of each month, unless that date is a legal holiday, in which case the meeting shall be held on the following business day. Regular meetings shall commence at 7:30 a.m. but the time and place of a regular meeting may be changed by the Authority by resolution. Section 3. SPECIAL MEETINGS. Special meetings of the Authority may be called by (i) the Board by motion, or (ii) the President or two members of the Board by writing filed with the Executive Director who must then mail or deliver notice of the meeting to the members of the Board of the time and place of the meeting at least two days before the meeting. Section 4. QUORUM. Resolutions shall be in writing and placed in the journal of the proceedings of the Authority. Meetings shall be conducted in accordance with Robert's Rules of Order,Revised. Section 7. MANNER OF VOTING. Voting on questions coming before the Authority shall be entered in the minutes of the meeting. When a quorum is in attendance, action may be taken by the Authority upon a vote of the majority of the Board. • 3 110) Section 8. ATTENDANCE. Unexcused absence from three (3) consecutive regular meetings of the Authority or four(4) meetings in any calendar year shall be deemed to constitute a resignation of a member, and the vacancy thus created shall be filled thereafter. To be excused, an absence must be requested in writing by the affected member, granted by the Authority president (or, the vice president if the president makes the request) and the Executive Director and filed with the city clerk. Absences may be excused for extenuating circumstances that prevent the member's attendance, such as business demands, state of health, or personal emergencies. ARTICLE IV—MISCELLANEOUS Section 1. FISCAL YEAR. The fiscal year of the Authority shall be the same as the city's fiscal year. Section 2. TREASURER'S BOND. The Treasurer shall give bond to the state conditioned for the faithful discharge of the Treasurer's official duties. The bond must be approved as to form and surety by the Authority and filed with the Secretary. The bond must be for twice the amount of money likely to be on hand at any one time, as determined at least annually by the Authority, provided that the bond must not exceed $300,000. Section 3. CHECKS. All Authority checks shall be signed by the Treasurer or Assistant Treasurer, and by the Executive Director or one other officer named by the Authority in a resolution. The check must state the name of the payee and the nature for which the check is issued. Section 4. FINANCIAL STATEMENTS. The Authority shall examine the financial statement together with the Treasurer's vouchers, which financial statements shall disclose all receipts and disbursements, their nature, money on hand, the purposes to which it shall be applied, the Authority's credits and assets and its outstanding liabilities in a form required by the city's financial statements. If the Authority finds the financial statement and Treasurer's vouchers to be correct, it shall approve them by resolution. Section 5. REPORT TO CITY. The Authority shall annually, at a time designated by the city, make a report to the city council giving a detailed account of its activities and of its receipts and expenditures for the preceding calendar year, together with additional matters and recommendations it deems advisable for the economic development of the city. The Authority shall also submit a report to the City Council annually within 60 days of the anniversary date of the first adoption of the enabling resolution stating whether and how the enabling resolution should be modified. Section 6. BUDGET TO CITY. The Authority shall annually send its budget to the city council at a time fixed by the city. The budget shall include a written estimate of the amount of 4 money needed by the Authority from the city in order for the Authority to conduct business during the upcoming fiscal year. Section 7. AUDITS. The Authority's financial statements shall be prepared, audited, filed and published or posted in the manner required for the city's financial statements. The financial statements shall permit comparison and reconciliation with the city's accounts and financial reports and shall be filed with the state auditor by June 30 of each year. Section 8. DEPOSITORIES. Every two years the Authority shall name a national or state bank or banks within Minnesota as depositories. The Authority may deposit all its money in one bank account. Before acting as a depository, a bank shall give the Authority a bond approved as to form and surety by the Authority. The bond must be conditioned for the safekeeping and prompt repayment of deposits. The bond must be at least equal to the maximum sum expected to be deposited at any one time. Section 9. SUPPLIES, PURCHASING, FACILITIES AND SERVICES. The Authority may purchase the supplies and materials it needs. The Authority may use the facilities of the city's purchasing department. The city may furnish offices, structures and space, stenographic, clerical and other assistance to the Authority. Section 10. EXECUTION OF CONTRACTS. All contracts, deeds, and other instruments to which the Authority is a party or signatory or by which the Authority may be bound shall be executed by the President and the Executive Director or Deputy Executive Director or by such other officers of the Authority as the Board may by resolution prescribe. Section 11. AMENDMENT OF BYLAWS. These bylaws may be amended by the Board by majority vote of all the commissioners, provided that any such proposed amendment shall first have been delivered to each commissioner at least five days prior to the meeting at which such amendment is considered. Stransky, City Clerk CITY OF COTTAGE GROVE ECONOMIC DEVELOPMENT TRUST FUND MANAGEMENT POLICY Fund Created • There is hereby created a separate fund to be designated as the Economic Development Trust Fund. This fund shall be used for the furtherance of economic development within the City. The purpose of the fund is to enhance economic development opportunities for commercial entities desiring to expand or improve commercial property within the City. Further, the City Administrator, Assistant City Administrator and the Finance Director shall administer this fund in accordance with the provisions set forth. All sources of funds received shall remain in the fund, except for authorized expenditures, as described below. The Fund shall be composed of a permanent reserve and a non-permanent reserve. II. Sources of Funds The permanent reserve in the fund shall be $150,000. The permanent reserve may be adjusted from time to time. In no case shall the permanent reserve be adjusted downward from the above level. The permanent reserve shall be defined as the principal of the fund. The following sources of funds shall be deposited into the Economic Development Trust Fund: A. Donations. B. Investment Earnings. Investment earnings shall be transferred to the fund on the basis of average cash balance during the year. This shall be done in accordance 411 with accounting and auditing standards and City policies then in place. C. Funds transferred from the Economic Development Fund and/or the Economic Development Authority as approved by City Council resolution. D. Any other money appropriated, transferred or loaned to the Economic Development Trust Fund by the City Council for the purposes of this fund. III. Uses of Funds Use of Fund resources must be for projects that could not occur or be funded but for the use of Fund resources. Uses of Fund resources are not intended to replace funding from another previously programmed source. Expenditures from the Fund may be made from the monies deposited, transferred or loaned to the fund. Expenditures may also be made from the permanent and non-permanent reserve according to the following restrictions. Uses of funds shall be the following: A. Land purchase to develop the commercial/industrial taxable market value in the City. B. Infrastructure improvements in the Industrial Park as in existence at May 19, 1999 and any future designated Industrial Parks except as provided below. C. Infrastructure improvements in the retail space as in existence at May 19, 1999 and any future retail space except as provided below. Expenditure Procedure Expenditures from the fund shall be included in the Capital Improvement Planning process. Expenditure Limitation In the general activity of the fund, total amounts expended in any one year or during the life of the Fund shall not infringe upon the permanent reserve (principal). Expenditures shall be made in the following priority: A. First from accumulated unspent investment earnings. B. Expenditures shall then be made from funds transferred into the Economic Development Trust Fund. C. Expenditures may be made from the non-permanent reserve funds. 1. Allowable expenditures that can be reimbursed to the Fund. 2. As a match for allowable expenditures. 3. The attached document is the proposed trust fund management policy for discussion. a Discussion The intent behind the policy is to provide a structure for use of funds that allows for economic development activity, but also seeks to preserve a portion of the initial donation. The reasoning for this is that the core portion of the initial donation will generate investment income in the future. In essence, it acts like a"seed"that will grow future funds. The proposed policy only allows economic activity. It specifically disallows using the funds for residential or general government purposes. It also does not allow using funds to reimburse the City for projects already committed. They have asked that the City provide that assurance by setting up a designated fund that restricts use of any donated funds. On May 13, 1999, the Mayor and Councilmember Wolcott received an initial donation from LSP in exchange for the above assurances. Such being the case we have drafted the attached resolution creating the Economic Development Trust Fund. A second action that needs to occur is to set up policies to manage the fund. In order to receive that price, we would need to order the item by December 15. The price will increase after that date. We do not have good price information regarding the logo gold balls at this time. It was indicated to us that there would likely be specials on this item after the first of the year, and it was recommended that we wait until that time to place an order. The event was held at River Oaks Golf Course on Thursday, October 18, and was attended by various members of the development community, including brokers, developers, bankers, and government officials. The event began with a welcome and additional information presented by EDA President/Council member Jim Wolcott. That was followed by presentations from Ryan Schroeder, Michelle Wolfe, and Kim Lindquist showcasing the City's development opportunities. The presentations were followed by a city tour, conducted by Associate Planner John Burbank. The tour focused on all facets of future development opportunities, including the industrial park, commercial areas, new housing, and the Gateway Development District. In all, fifteen individuals involved in the development community attended the event. Feedback was very positive. River Oaks did a great job of hosting the event, and John Burbank deserves recognition for coordinating and conducting the city tour. Although recently completed, recent changes in tax law and the economy may suggest some modifications to the plan. I have included a copy of the EDA Strategic Plan for your reference. Some options for addressing this include the S following: (1) Discuss it again at the next EDA meeting, after there is additional time to review the plan. (2) Schedule a special meeting specifically to address the Strategic Plan. (3) Leave the plan as it is for now and continue to monitor changes in the ED environment. It had been mentioned that perhaps it might be good to schedule another joint meeting with the City Council. The timing of such a meeting may depend on the direction you decide to take with the EDA Strategic Plan. Related to that, the staff needs to develop a 2002-work plan. It would be helpful, as we begin to develop the plan, to see if the EDA has any direction they would like staff to consider as we work on the plan. Typically, we have taken the goals identified in the Strategic Plan and developed action steps to help accomplish those goals. Some of the action items in past work plans have included: • Meet with each manufacturing concern at least once during the calendar year to work on opportunities and challenges. • Meet with major retailers at least once during the calendar year to work on opportunities and challenges. 1111 • Coordinate business appreciation event in cooperation with 3M Cottage Grove and the Chamber of Commerce. Some other items to consider: • Aerial photos — should we be doing them yearly as we develop new project in the Industrial Park? • Advertising — should we continue with a similar plan as in 2001, concentrating on the Real Estate Journal and City Business? • Should we consider a "Development Insert" for the Cottage Grove Reports (newsletter), which would cost approximately $824. The thought would be to provide up-to-date and thorough information to our residents about development activity. • Should we consider participating as a sponsor of certain development-related events? For example, we were asked to be a sponsor at the Minnesota Development Conference and at a Site Selection Seminar conducted jointly with St. Thomas University and the Real Estate Journal. (Scott Johnson attended the seminar and his summary of the event is attached. We were not able to send anyone to the Minnesota Development Conference, but I did get some feedback from the conference from Kirstin Barsness, which is summarized, in another attachment to this memo.) • Are there any other marketing efforts/events that the EDA would like to see the City develop for 2002? The seminar was well attended by developers and power companies. There were also a few cities represented at the seminar. • The St. Paul Port Authority, Airlake Development (Lakeville), the City of Jordan, and the City of Elk River sponsored this event. They all discussed economic development projects in their communities. Most of the cities used this time to market the opportunities available in their communities. All of the cities also had displays and handouts for people who attended the seminar. The guest speakers at the seminar discussed a number of development topics. Some of the topics included: site selection, site assembly, eminent domain, easements, client expectations, cost recovery studies, and de-regulation of power companies.
