April 11, 2000
Pursuant to due call and notice thereof, a regular meeting of the Economic Development
Authority was held at City Hall, 7516 80th Street South, Cottage Grove, Minnesota on the 11th
day of April 2000.
1. CALL TO ORDER
The meeting was called to order at 7:30A.M. by Mayor Denzer.

Members Present: Jack Denzer, Glen Kleven, Fred Luden, Dick Pederson, Gerald
Weingertner, Jim Wolcott, and Shannon Green.
Members Absent: None.

3. APPROVAL OF MINUTES
Kleven moved to approve the March 14, 2000 Minutes, Pederson seconded. Motion carried.
4. BUSINESS ITEMS
A. Project Updates
1. CCE — Lot split for the TIF District was approved by the City Council on March 15th, the
closing date is set for early May. Sanitary sewer and storm water relocation work is
complete, and the storm water flume is out to bid.
2. Hotel/Restaurant/Office — Traffic study is now complete and the results are expected to
be presented to the School board in late April, and to the City Council in early May.
• 3. APi — Council member Pat Rice, Luden, Kleven, Wolfe and Schroeder toured the current
facility on March 15th. Company officials stated they are finishing up their strategic

planning process in the next few weeks, and a decision would be made soon after.
Schroeder said they should hear from them in the next month or two.
4. Cushman & Wakefield — Project that requires rail access. No new information at this
time.
5. Corporate Real Estate — Client will be meeting within a month to decide how project will
proceed.
6. DTED— International client, awaiting further information from DTED.
7. Shoe Company — Staff has been in contact with one of the primary owners who lives in
Cottage Grove. Wolfe stated that both Metro East and NorthCo had called regarding
the same project. Metro East had sent the request for proposal to several SE
Washington Co. cities. Client has two years left on current lease. Awaiting further
information.
8. Hughes Institute — Wolfe stated the group is a 501 non-profit organization with total
revenues of about 40 million. They require around 300,000 — 400,000 sf of office,
partially tax exempt, with some "hospital bonds". •
9. High Tech Manufacturing — Cresa Partners project, looking for 65 acres.
10. Paper/cup Manufacturer — client looking for about 100,000 sf facility with rail access.
Would employ about 100 people. Staff has been corresponding with the client, and is
coordinating with CP Rail.
11. Grove Plaza — No new news at this time.
12. Post Office — Closing set for late April or early May.
13. Murphy warehouse — No new news at this time.
14. Grey Cloud Island — Wolfe summarized the work group presentation to the City Council.
Council directed the work group to meet with the Met Council and Washington County.
Wolcott stressed the need for more "Move-up" housing in the area, and stated this was
an aspect of the EDA work plan.
15. MISCELLANEOUS —Wolfe discussed various leads, including:
Simek's Meats Office and Distribution facility. Staff has sent marketing material and has
been in discussion with Jay Bruber, owner. More information to follow.
A road groove company requested information. Staff informed them of exterior storage •
requirements and sent appropriate information on Industrial Park.

DTED requested information for a 50 — 100 acre manufacturing/distribution project.
Another DTED project involving a tractor repair business is proceeding in a different
location.
A broker from Grubb & Ellis inquired about a location for a manufacturer of heavy
equipment. Promotional material sent.
A commercial broker called looking for general information for a retail client, staff has
invited him in for further discussions, no response as of yet.
A Welsh Co. broker called looking for a site for a 400,000 sf manufacturing building. A
cover letter and general information was sent.
City Council approved the Office Max project.
Staff met with representatives from Equity Commercial Services, who represents St.
Paul Companies property along W. Pt. Douglas. Updates were provided on current
development and transportation issues.
• A broker from Colliers Towle called regarding available commercial property.
Information was sent.
An inquiry regarding a senior housing project (Section 202 HUD), referred to Planning.
A broker from CB Richard Ellis inquired about 150 acres for a warehouse/distribution
facility, more info to come.
A broker from Welsh is interested in a 380,000 sf facility, build to suit, for an internet
retail company. No further information at this time.
Lastly, Wolcott initiated a discussion on voice mail and the need for a specific line for
Economic Development efforts.
B. Strategic Plan Update
Wolfe summarized the changes to the draft strategic plan and reviewed the goals section.
Kleven motioned to approve the strategic plan, Weingertner seconded, approved unanimously.
C. WEB Site
Wolfe stated that the MIS Coordinator is preparing an RFP for WEB design services for the City
WEB site. She solicited opinions as to the content of the EDA section. Wolcott stated there
should be information on residential areas and "move-up" housing, as well as links to brokers
• and information on current and future MUSA line adjustments. Wolcott also suggested
highlighting 3M and Renewal. Kleven remarked that the site should be kept simple, and could
also be used to generate revenue through banner advertisements.

D. EDA Golf Outing
Wolfe stated that plans are underway for the fall tournament. Pederson suggested having
registration materials available at the Chamber tourney on June 26tH
E. Business Retention and Expansion Interview
King stated a BRE interview had been conducted with Bob Carlson of Carlson Auto.
5. Miscellaneous Business
A. Video, Lyle Wray, Citizens League
A video of Lyle Wray discussing the labor shortage was viewed.
B. Metro East Information Update.
A discussion regarding the name of the Cottage Grove Area Chamber of Commerce followed.
Members stated the name is adequate, as Cottage Grove has some recognition within the
metro region.

Pursuant to due call and notice thereof, a special meeting of the Economic Development
Authority was held at City Hall, 7516 80th Street South, Cottage Grove, Minnesota on the 19th
day of April 2000.
CALL TO ORDER
The meeting was called to order at 11:15 A.M. by Mayor Denzer.

BUSINESS SUBSIDIES CRITERIA PUBLIC HEARING
Mayor Denzer opened the public hearing. No members of the public were present to
speak. Mayor Denzer closed the public hearing.
Wolcott moved to adopt business subsidies criteria as established by the City Council on
December 1, 1999. Pederson seconded. Motion carried unanimously.

CCE
The closing occurred on May 2, 2000. The groundbreaking is tentatively scheduled for
4:00 p.m. on Friday, May 19.
HOTEL/RESTAURANT/OFFICE
Staff received the traffic study. The City Council and EDA members are requested to
attend the School Board workshop and Regular meeting on May 11 (5:00 Workshop,
7:00 Regular meeting). The School Board will be reviewing the traffic study.
API
The company is finishing its strategic plan process and expect to make a decision in the
next month or so.
Remaining Projects:
Attached is a listing of active projects from our database. We will review the status of
these projects at the May 9 meeting.

Re: River Oaks Golf Course
As you know, the State Legislature recently granted the City of Cottage Grove
authority to issue an "On Sale" intoxicating liquor license to the Cottage Grove
Economic Development Authority (EDA) and the EDA was granted authority to
hold a license for the River Oaks golf course grounds, clubhouse, and restaurant
located in the City. City Attorney Bob Long provides background information
relative to the request in the attached memo. •
Even though the EDA is the holder of the liquor license, the special legislation

deemed the City of Cottage Grove as the seller of alcoholic beverages for liquor
liability insurance and civil liability purposes. The City of Cottage Grove and the
EDA are named as covered parties under the liquor liability insurance policy.
The EDA is also a named entity under the City's package (general liability) policy
and members of the EDA are covered under the City's workers compensation
policy.

RE; Cottage Grove Liquor Issue
This is background related to the City of Cottage Grove's request for special legislation to allow the
City to issue an on-sale intoxicating liquor license to the Cottage Grove Economic Development
Authority.
The Corsage Grove EPA owns the River oaks Golf Course clubhouse and leases the clubhouse to
the City of Cotttge Grove. The course opened in 1991 and,since it,opening,the City has issued an
on-sale 3.2 percent malt liquor license for the sale of 3.2 beer at the golf course. it appears that
initial appliceuons may have been made wtth the intent that the EDA hold the license. However,
the individuals named in the applications as the managers of the liquor operations hold positions
• with both the City and the EDA. find over the course of several years, there has been Nome
confusion as to whether the lietnee was being issued to the EDA or the City.
The distinction in issuing the license to the EDA ur City is important, because cities have limited
authority under Minn Scat. § 34UA.601 to establish municipal liquor operations. Cottage Grove
does not meet the population requirement to operate a municipal liquor operation. However, there
is d statutory basis for issuing a liquor license to an EDA. Section 34UA.301, subd. 23 defines a
'person"that may hold a liquor license as having the meaning given in Minn. Stat. $ 645.44, subd.
• 7. The latter statute defines a 'person " as applying to "bodies politic and corporate" as well as
pannerships and unincorporated associations. An EDA is a public body corporate and politic;
therefore, there is a statutory basis for granting a liquor license to an EDA.
In 1999,the clubhouse was expanded in order to accommodate banquet facilites for weddings and
other events. To better serve this market.the City proposed to issue an on-sale intoxicating liquor
license tar the golf course. The City issued the intoxicanng liquor license in the name of the City
(because staff believed that the existing 3.2 license was a City-held license). When the City notified
the Liquor Control Board of the license issuance, the staff there informed the City that the license
could not be issued because it did not conform to § 34UA.601. regarding the establishment of
municipal liquor operations.
Our office then caotatted the Liquor Control Board to verify that the Board would approve of
issuing a license to the EDA The staff responded that, despite the language in the statute, the staff
believed that special legislation would be required to authorize issuance of an intoxicating liquor
license to the EDA. The staff pointed out two examples of special legislation in similar
circumst,uices — the Brooklyn Park Economic Development Authority arida four-city economic
• development authority in northern Minnesota. That prompted the City's request.

NSP
Staff met with Barb Biren, NSP Senior Consultant Economic Development. We
• discussed the role NSP can play in our development and marketing efforts. We also
asked for NSP staff to look at some issues regarding overhead lines. Barb will be
working on some materials we can include in our proposal packets.
MEETING WITH CRAIG LIEN, WELSH COMPANIES
City Administrator Schroeder and I met with Craig Lien on May 2. We provided him a
copy of our advertising plan for the year, and discussed using the CCE purchase
agreement as the model for future projects. Craig agreed to provide us with a map of
the current land prices, and informed us that he will be doing a direct mail piece in the
near future. The entrance sign for the Industrial Park was discussed. He is in the
process of getting updated quotes. The name for the Industrial Park was discussed —
this will need to be finalized before the sign is ordered. We will need to discuss with you
options for the name of the park.
METRO EAST/MANUFACTURING TRADE SHOW UPDATE
Plans are proceeding for the International Manufacturing Trade Show this September in
Chicago. I will be representing Cottage Grove, and will likely work at the show
• September 9 through 13. Staff will be working on materials that I can take with me to
market the City of Cottage Grove.

CHAMBER MEMBERSHIP CHALLENGE
The Chamber Corporate Challenge 2000 kicked off on March 28th and ended May 3. •
The awards ceremony will take place at the annual Spring Banquet. The losing teams
will pull a float, carrying the winners, at the Great Grove Get Together Parade in June.
In our efforts to support the Chamber and participate in the Challenge, the City sent a
letter to all existing City vendors. Attached is a copy of the letter.
CHAMBER BOARD MEETING
The next Chamber Board meeting will be held at River Oaks Golf Course on May 11 at
7:30. The Chamber has extended an invitation to EDA members to attend this meeting.
If you plan to attend, please let me know.
EDAM MEETING
On Thursday, May 18, the Economic Development Association of Minnesota will be
holding their monthly meeting in Cottage Grove. They will start at River Oaks Golf
Course, with a lunch and presentations by Shannon Green and Cottage Grove staff.
The group will then proceed to a tour of the Renewal by Andersen facility. City staff will
be presenting the group with information about what is happening in Cottage Grove.

Re: Appointment of EDA Officers Item 4E
The by-laws of the Cottage Grove Economic Development Authority state that the
officers of the corporation shall be a President, Vice President, Secretary, Treasurer
and Assistant Treasurer who shall be elected to one year terms. It further states that
the President, Vice President and Treasurer shall be members of the Board of
• Commissioners, and that no person may hold more than one office. The Secretary and
Assistant Treasurer need not be members of the Board of Commissioners. I have
attached Article IV of the By Laws for reference.
I have researched the records and have not been able to find when officers were last
elected. Because the EDA now holds the liquor license for River Oaks, it is even more
important that we formally elect these positions. Therefore, I am requesting that at the
May 9 meeting, the EDA elect the following positions:
President
Vice President
Treasurer
Secretary
Assistant Treasurer
In the future, staff will place election of officers on the January EDA agenda each year.

4. All vacancies in the Board of Commissioners shall be filled by Mayoral
appointment with approval by the City Council. A Commissioner selected to
fill any vacancy shall hold office for the balance of the unexpired term to
which he or she is appointed.
5. Meetings of the Board of Commissioners shall be held at least quarterly
in the principal office of the Authority in the City of Cottage Grove, State
of Minnesota or at such other place as the Board may establish from time to
time. At least five (5) days written notice of such meetings shall be given to
the Commissioners.
6. Special meetings of the Board of Commissioners may be called at any time
by the President, or, in his/her absence, by the Vice-President or by any two
(2) Commissioners, to be held at the principal office of the Authority in the
City of Cottage Grove, State of Minnesota, or at such other place or places as
the President, Vice President or any two Commissioners calling such meeting may
designate. Notice of special meetings of the Board of Commissioners shall be
given to each Commissioner at least three (3) days prior to the meeting via
telephone, telegram, letter or personally.
7. A quorum at all meetings of the Board of Commissioners shall consist of
a majority of the whole Board, but in no case shall a quorum be less than three
(3) Commissioners. Less than a quorum may, however, adjourn any meeting, which
may be held on a subsequent date without further notice, provided a quorum be •
present at such deferred meeting.
8. Compensation for attending meetings and actual expenses shall be
established from time to time by City Council Resolution.
9. All meetings of the Authority shall be open to the public.
ARTICLE IV
Officers
1. The officers of the corporation shall be a President, a Vice-President,
a Secretary, a Treasurer and an Assistant Treasurer who shall be elected to one
year terms. They shall hold office until their successors are elected and
qualified. The President, Vice-President and Treasurer shall be members of the
Board of Commissioners. No person may hold more than one (1) office. The
Secretary and Assistant Treasurer need not be members of the Board of
Commissioners.
2. The President shall preside at all meetings of the Authority, shall be
in charge of the day-to-day operations, shall sign or counter-sign all cer-
tificates, contracts and other instruments of the Authority as authorized by the
Board of Commissioners, shall make reports to the Board of Commissioners, and
shall perform all such other duties as are incident to his/her office or are
properly required of him/her by the Board of Commissioners.

• The Vice-President shall exercise the functions of the President during
the absence or disability of the President.
4. The Secretary shall issue notice for all meetings, except for notice
of special meetings of the Board of Commissioners called at the request of
Commissioners as provided herein may be issued by such Commissioners, shall keep
minutes of all meetings, shall have charge of the Authority books, and shall
make such reports and perform such other duties as are incident to his/her
office, or are properly required to him/her by the Board of Commissioners.
5. The Treasurer shall perform all duties incident to his/her office which
are properly required by the Board of Commissioners.
6. In the case of the absence or inability of any officer of the Authority
to act and of any person herein authorized to act in his/her place, the Board of
Commissioners may from time to time delegate the powers of duties of such
officer to any other officer, or any Commissioner whom it may select.
7. Vacancies in any office arising from any cause may be filled by the
Commissioners present at any regular or special meeting.
ARTICLE V
Attendance and Expenses
1. Any Commissioner who is absent from three (3) consecutive duly called
• meetings of the Board shall be deemed to have resigned unless the absentee
provides a satisfactory explanation to the President and the President so notes
such explanations in the records of the Authority.
2. Commissioners and officers shall be entitled to reimbursement for all
reasonable travel and related expense incurred in attendance at meetings and in
the performance of duties on behalf of the Authority. Schedules of reimbursable
expense shall be established by the Authority from time to time, as ratified by
the City Council.
ARTICLE VI
Finance and Administration
1. The monies of the Authority shall be deposited in the name of the
Authority in such bank or banks as the Board of Commissioners shall designate,
and shall be drawn out only by check signed by two persons designated by resolu-
tion by the Board of Commissioners.
2. The fiscal year of the Authority shall be the same as the fiscal year
of the City of Cottage Grove.
3. The nature, number, and qualification of the staff required by the
authority to conduct its business according to these By-Laws shall be annually
• determined by the Board of Commissioners. Any agreement shall set forth in

Now that you have completed the Strategic Plan process, staff has been able to finalize
the advertising plan for the year. Attached is a packet that shows our timeline, costs,
and the issues we plan to publish in. If we follow this plan exactly we should have a
small balance left for anything that may come up of interest. Also attached are some
• sample copies of the ads we run in each publication.
This plan could change somewhat if we are successful in obtaining some cost-sharing
from the property owners. This cost sharing may be for direct mail efforts, or it may be
applied to some City Business ads.
If you have any concerns about the advertising plan, please advise. Otherwise, staff will
proceed as presented to you in this packet.

• 1999 Highlights

Renewal by Andersen celebrated the
Grand Opening of its new 30 acre,
227,000 square foot manufacturing and
headquarters facility. The site will
employ up to 300 associates by 2001.
• The City experienced over $12 million
in new or expanded commercial
construction. New businesses include
Renewal by Andersen, Tutor Time, and
KFC. Expanded businesses include 3M,
• Up North Plastics, Burlington Northern
Railroad, River Oaks Golf Course, and
Mississippi Dunes Golf Course.
• Total market values on all properties
exceeded $1.1 billion. This is an
increase of over 6%from 1998.
• Over 400 new homes were built from
1997 - 1999. The average value for new
homes now exceeds $126,000, not
including the lot price.

From the Mayor. . . 1999 City Council
1999 was a year of changes for Cottage Grove Economic John Denier, Mayor •
Development. We restructured our staff, so several staff CherylKoh/s
members can now contribute their talents toward the City's Pat Rice
efforts in retaining and expanding business and industry. New Sandy Shiely
initiatives and programs were updated and revitalized. This Jim Wolcott
document is a record of our activities and our successes.
In 1999 we continued to advance toward the goals set forth 1999 EDA
in the 1997—2001 Strategic Plan, and made plans to begin a
new strategic planning process in 2000. The Annual Golf John Denzer, President
Tournament was again held in August at River Oaks Golf Shannon Green
Course, with attendance doubling over the previous year. We Glen K/even
welcomed current City businesses, as well as developers,

brokers, and many others in the development community to

The City Council approved road improvements for the Staff Contacts
Industrial Park and surrounding area. The Metropolitan Council
finalized plans for the expansion of the City wastewater

The Chamber works with the City to attract new businesses and retain existing
businesses. The Chamber is part of our site team.
Metro East Development Partnership
Metro East serves companies looking for locations by distributing a Site Request for
Proposal to its member communities. Frequently, the prospect company will visit a
selected group of communities through the coordinated efforts of Metro East.
Northern States Power Economic Development
The Industrial Park is served by NSP electric and gas utilities. The company assists
the City in marketing Cottage Grove as a business location, and has brought
prospective companies to the area for site tours.
Economic Development Authority
•
Appointed by the City Council, the EDA guides the City's economic development
activities. The EDA is responsible for implementing the business retention and
attraction programs, and coordinating the marketing plan.
