RE: Modification of EDA Enabling Resolution •
Dear Michelle:
Enclosed is a draft of the modification of the EDA Enabling Resolution. The modification
addresses three major issues which we have discussed. It increases the membership of the EDA
from five to seven members, two of whom must be members of the city council. It makes clear that
the EDA possesses the full range of powers authorized under state statute (Minnesota Statutes,
sections 469.001 to 469.047; 469.090 to 469.1081 and 469.124 to 469.134). Finally, it corrects
certain outdated statutory references.
I am suggesting one more change which we have not previously discussed. Section 6 has been
modified to allow the city council annually to set the compensation for attendance at EDA meetings.
Compensation for the board is now set at $30.00 per meeting. I do not know if this has been an
issue in the past but any change would require formal modification of the Enabling Resolution. It
seems preferable to me to allow the city council to set the level each year, perhaps at its annual
meeting in January. If you think this unwise,we can omit this modification.
I am also sending drafts of a resolution calling for a public hearing on adoption of the modification
and a proposed summary to be published in a newspaper of general circulation (presumably the
official newspaper)once a week for two consecutive weeks. The first publication must be within 30
days of the date of the hearing.
After the Enabling Resolution is modified and after the EDA adopts its amended by-laws, it will be •
necessary for the City Council to approve the amended EDA by-laws before they become effective.

A RESOLUTION AMENDING COTTAGE GROVE CITY COUNCIL RESOLUTION
NO. 86-227 REGARDING ESTABLISHMENT OF AN ECONOMIC DEVELOPMENT
AUTHORITY
WHEREAS, the City Council of the City of Cottage Grove (the "City") established the
Cottage Grove Economic Development Authority (the "Authority") by Resolution No. 86-227
approved December 17, 1986 (the "Enabling Resolution"), pursuant to Minnesota Statutes, Chapter
458C,now Minnesota Statutes, Sections 469.090 to 469.1081 (the"EDA Act"); and
WHEREAS, the Enabling Resolution designated a five-member board of commissioners,
two of whom were required to be members of the City Council; and
WHEREAS, the EnablingResolution contained references to and authorized the Authority

to act under various state statutes, some of which have subsequently been repealed; and
WHEREAS,pursuant to Section 469.092, Subd. 2 of the EDA Act,the City may modify the
Enabling Resolution at any time; and
WHEREAS, the City has determined to modify the Enabling Resolution and on this date
held a duly-noticed public hearing regarding modification of the Enabling Resolution at which all •
interested persons were given an opportunity to be heard.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
COTTAGE GROVE,MINNESOTA AS FOLLOWS:
1. Resolution No. 86-227 is hereby amended by repealing paragraphs 1, 2, 3, 6 and 7 of the
Enabling Resolution, and replacing them with new paragraphs 1, 2, 3, 6 and 7,reading, respectively,
as follows:
1. Powers. Subject to the terms and conditions hereinafter set forth, the Authority shall
have all the powers contained in Minnesota Statutes, sections 469.090 to 469.1081;
and the powers of a housing and redevelopment authority under Minnesota Statutes,
sections 469.001 to 469.047; and of a city under Minnesota Statutes, sections
469.124 to 469.134. When the Authority exercises the powers of a housing and
redevelopment authority contained in sections 469.001 to 469.047, the City Council
shall exercise the powers relating to a housing and redevelopment authority granted
to a city by sections 469.001 to 469.047.
2. Limit of Powers:
a. The Authority shall not exercise any of the powers contained in Minnesota
Statutes, sections 469.001 to 469.047; 469.090 to 469.1081; and 469.124 to •
469.134 without the prior approval of the City Council.

b. By the adoption of a Resolution, the City may require the Authority to
transfer any portion of the reserves generated by activities of the Authority
which have not previously been pledged by the Authority, when the City
Council determines that the reserves are not necessary for the successful
operation of the Authority. The reserves shall be transferred to the debt
service fund to be used solely to reduce tax levies for bonded indebtedness of
the City.
c. That the sale of all bonds or obligations issued by the Authority shall be
approved by the City Council before issuance.
d. That the Authority shall follow the budget process for a City department as
provided for and implemented by the City.
e. That all official actions of the Authority must be consistent with the adopted
Comprehensive Plan of the City, and be in accordance with any and all
official controls implementing the Comprehensive Plan.
f. That any planned activities for influencing the action of any other
governmental agency, subdivision or body shall be submitted to the City
. Council for approval.
g. That the Authority shall submit its administrative structure and management
practices to the City Council for approval.
3. Commissioners. The Authority shall consist of seven members who shall be
appointed by the Mayor with the approval of the City Council. Two of the Commissioners
shall be members of the City Council.
6. Compensation. Each Commissioner shall be paid for attending each regular
or special meeting of the Authority such amount as the City Council shall determine
annually, and shall be reimbursed for actual expenses incurred in doing official business of
the Authority.
7. Removal. Removal of Commissioners shall be made pursuant to Minnesota
Statutes, section 469.095,subd. 5.
2. All other references in the Enabling Resolution to Chapter 458C shall be changed to
Minnesota Statutes, sections 469.090 to 469.1081.
3. The Enabling Resolution remains in full force and effect and is not modified except
as specifically provided herein.
4. This resolution is effective upon approval by the City Council.

RESOLUTION CALLING FOR PUBLIC HEARING ON THE
MODIFICATION OF THE ENABLING RESOLUTION FOR THE
COTTAGE GROVE ECONOMIC DEVELOPMENT AUTHORITY
BE IT RESOLVED by the City Council of the City of Cottage Grove, Minnesota (the
"City")as follows:
WHEREAS, the City established the Cottage Grove Economic Development Authority (the
"Authority") by Resolution No. 86-227 approved December 17, 1986 (the "Enabling Resolution");
and
WHEREAS, the City has determined to revise the Enabling Resolution in accordance with
Minnesota Statutes, Sections 469.090 to 469.1081.
NOW,THEREFORE, BE IT RESOLVED by the City Council of the City of Cottage Grove
as follows:
1. The City Council shall hold a public hearing at its regular meeting on
2000 at p.m. in the council chambers at Cottage Grove city hall on the
question of modifying the Enabling Resolution.
2. The City Clerk is authorized and directed to cause notice of the public hearing,
substantially in the form attached hereto as Exhibit A, to be published in a newspaper of general
circulation in the community once a week for two consecutive weeks prior to the date of the public
hearing.

NOTICE OF PUBLIC HEARING
NOTICE IS HEREBY GIVEN that the City Council of the City of Cottage Grove will meet
on
, 2000
at p.m. in the Council Chambers in City Hall to conduct a public hearing on modifying
the enabling resolution that created the Cottage Grove Economic Development Authority (the
"Authority').
The enabling resolution which established the Authority was approved by the City Council
on December 17, 1986. That resolution designated a five-member board of commissioners,
including two members of the City Council. The proposed modification provides that the board of
commissioners is expanded to seven members, two of whom shall be members of the City Council.
The terms of the members of the Authority who are members of the City Council will be set to
coincide with their terms as members of the City Council. The modified enabling resolution grants
the full range of powers to the Authority allowed under state law, subject to specific exceptions and
limitations. The modification also allows the City Council to establish compensation for the •
Authority annually and corrects several outdated statutory references.
Any person wishing to express a view regarding the modification of the enabling resolution
will be heard orally or in writing at the public hearing. A copy of the full text of the resolution
modifying the enabling resolution is on file for public inspection in the office of the City Clerk at
City Hall during normal business hours.

As you know, earlier this year Michelle Wolfe developed a site selection survey
which was mailed to members of the development community. Surveys were also
distributed at the 2000 EDA Golf Tournament.

1111 The results from the site selection survey— especially questions 3 and 4 —
indicate a strong preference for the Minnesota Real Estate Journal and City Business
as periodicals of choice within the development community, almost to the exclusion of
all others. Naturally these results have a potential impact on our advertising plan for

On Tuesday, October 11, the City hosted an informational meeting for
area realtors and developers. City Administrator Ryan Schroeder, Community
Development Director Kim Lindquist and Assistant Administrator Michelle Wolfe
each addressed the group of approximately fifteen members of the real estate
community. Issues discussed ranged from the Strategic and Industrial Park
Marketing Plans to recent and future developments in residential,
• commercial/retail, industrial land use and transportation.
This was also a chance for the City to highlight the new River Oaks Clubhouse
and banquet facility, introduce staff members from Community Development and
Administration and to solicit input on how to better provide services to the City.
