The developer has sold the lots to U.S. Home Corporation, d/b/a Lennar for the construction of homes within the development. Section 2.b.v in the Development Agreement states, "The Developer shall inform each builder that an escrow and fees must be deposited with the City for each lot. The escrow and fees must be deposited with the City at the time a building permit application is filed with the City. The purpose of the escrow and fees is to ensure certain On-Site Improvements (e.g. boulevard/yard sod, boulevard trees, curb stop inspection, right-of-way permit, property corner boundary markers and as-built survey and sidewalk repairs, etc.) are completed before a certificate of occupancy is issued by the City." Lennar has requested to post a Letter of Credit (LOC) in the value of the lot escrows for the project, instead of posting individual cash escrows with each building permit. The developer, NNP-Jamaica, LCC, would like to assign this obligation to Lennar, and Lennar is willing to assume the obligation; please see the corresponding letters from each party. The City is supportive of this change as it continues to protect against any default related to the home building on-site improvements per lot, and it will reduce the labor intensive processing of escrows on a per lot basis by City staff. The City Attorney reviewed the Development Agreement and the supporting documents from NNP-Jamaica, LLC and Lennar and found them to be in order. Recommendation It is recommended to accept the assigned obligation for building escrows from NNP-Jamaica, LCC to U.S. Home Corporation d/b/a Lennar for the Cayden Glen Development. RESOLUTION NO. 2015-XXX RESOLUTION ACCEPTING THE ASSIGNED OBLIGATION FOR BUILDING ESCROWS FOR THE CAYDEN GLEN DEVELOPMENT FROM NNP-JAMAICA LLC TO U.S. HOME CORPORATION D/B/A LENNAR WHEREAS, Newland Real Estate Group, through its subsidiary, NNP-Jamaica, LLC, (Developer) entered into a Development Agreement with the City of Cottage Grove dated January 14, 2014, for the development of Cayden Glen; and WHEREAS, the Developer entered into a Production Builder Lot Purchase Agreement with U.S. Home Corporation d/b/a Lennar for the sale of building lots within the Cayden Glen development; and WHEREAS, pursuant to Section 2.b.v. of the Development Agreement, the Developer shall inform each builder that an escrow and fees must be deposited with the City for each lot.
