Four quotes for service were received. Quotation results are as follows: Hoffman and McNamara: $68,244 Mulligan's Landscaping: $71,670 Warner's Outdoor Solutions: $80,095 Knecht's Nurseries: $114,310 Staff Recommendation Consider authorizing staff to execute a service contract with Hoffman and McNamara for the planting of 193 boulevard trees for the amount of$68,224. TERIVIINA'TION AND REMEDIES. a. Term�nation�v Either Pa��tX. This Agreement may be tei�ninated by either party upon 30 days' written notice c�elivered to the other pai`ty to t�e adcl�esses listed in Section 13 of tfiis Agreerrient; Upox��termination under this pro�vision, if there is no default by the Contractor; Contractox sha11 be paid for Seivices rendered and reimbursable expe�ses tluough the effective date of tet�nination. b. Termination Due to Dafault. This Agi�eenient may be terminated by either paz�ty upon written notice in the event of substantial faihue by the othei party to perform in accordance with the terrx�s of this Agreement. The non perfox�ning pal�ty sk�all have �fteen(�5) calenc�ar days fiom the date of the teimination notice to cure oi�to submit a�lan for cure that is acceptabXe to the other party, � c. Remedies. Notwithstanding the above, the Contractor shall not be zelieved of .liability to the City for damages sustained by the Gity as a result of any breaeh of this Agreement b�the Contractor, The City may,in such evei�t; i. SUBCON�'RACTORS. Contxactor shall not entei into subcontzacts for any of the Services provided for in this Agreeznent without the express written corisent of the Gity, unless specifically provided for in the E�ibits. The Contractor shall pay any subcontiactor involved in the pe�formance of this Agreement within the ten (:10) days of the Contraetoz's zeceipt of payment by tl�e City foi undisputed services provic�ed by the subcontractoY�, 6, STANDARD OF CARE. �i perfox�rning its Services, Confzactor will.use that degree of caYe and slcill o�•dinarily exez•cised, under similar ci�cumstances,by reputable members of its professiori in the same locality at the time the Se��vices are provided. 7. DELAY IN PERFQRMANCE, Neither City nor Conhactor shall be considered in default of this Agreement�Qx delays i�i perfoi7nance caused by circumstances beyond the fieasonable contxol of the nonpet�£oz7ning party, Fo�• purposes of this Agreement, suah aircumstances include, but are not limitec� to, abnormal weat�er conditions, floods; earthquakes; fire; epideznics; war, riots; and other civil disturbances; shilces,loelcouts, worl�slowdowns, and. other labor clisturbances; sabotage; judicial resh�int; and inability to procttre permits, lieenses or authorizations fiom any local, state, oi �ederal agency for any af the supplies, matezials, accesses, or seivices required to be proyided by either City or Gontractor under this Agreeme�t. �f such circumstances occtu, the nonperfoi7ning party shall, within a reasonable tur�e of being p�evented fiom perfoa�ming; give wxitten notice to the othe� party describing the cireumstances pze�enting contuiued pei�formance and the effoi�ts beuig made to resuz�.e pe��ormance of this Agreement. During the perfoi7nanee of the Services urider this Agreement, Cont�actoi shall maintain the following insuiance: a. Comme�cial Genera� Liability Insurance, with a limit of $�,000,000 for any numl�ei of claims aiising out of a single occui7•ence; pu�suant to Miru�esota Statutes; Section 466.04, ol as may be amended; b. Worlcers' Compensation Insurance in accordance with statutory lequirements. c. Automobile Liability Insurance,with a combinecl single limit of$1,000,000 foit each peison and$1,000,000 fo�each accident, Contractor sha11 fui•nish the City with ce��tifieates of insurance, which shall include a provision tliat such insurance shall not be canceled without wzitten notice to the City, The City shall be named as an additio�ial insured on the Coml�ercial General Lia�ility Insu�ance policy. �.2. INSPECTION OF WORK. All rnaterials and worl�nanship �v�ll be subject to inspection, examination, and testing by the City, who will have the right to reject de�ective material and worlunanship ollequiie its coi7eetion. 13.
