Introduction/Background
As part of the Emerald Ash Borer Management Program, the City is scheduled to replant 193
trees in the spring of 2016. Four quotes for service were received. Quotation results are as
follows:
Hoffman and McNamara: $68,244
Mulligan's Landscaping: $71,670
Warner's Outdoor Solutions: $80,095
Knecht's Nurseries: $114,310
Staff Recommendation
Consider authorizing staff to execute a service contract with Hoffman and McNamara for the
planting of 193 boulevard trees for the amount of$68,224.

AGREEMENT FOR SERVICES
THIS AGREEMENT ("A�reenlent") is made and executed thils o�7`�''' day of

St.East Hastings,MN 55033 ("Contractor").
VJHEREAS, the City has accepted the�z�oposal of the Contractox for cei�tain Services; and
WHEREAS, Gontractot desires to perfo�7n the Seivices foz the Gity under the tei7ns and
conditions set foi�th in this Agreement.
NOW THEREFORE, in conside�ation of the mutual consideration eontained herein, it is hereby'
agreed as fo�lows:
L SERVTCES.
a> City agrees to engage Conta�actor as an independent conti�actor for the put�ose of
perfoi?rning cel�tai�:Ser�vices ("Sex`vices"), as c�efined in the following documents:
i. A proposal dated 1-'`Z�'��l� ,incozpoXated herein as Exhibit l;
ii. Other documentation, incozporated hezein as E�ibit 2.
(Hereinafter"Exhibits,")
b. Conti•actor covenants and agrees to proVide Sez�vices to the satisfaction o�the Cit�
in a timely £ashion, as set fol�th in the Exliibits, subject to Section 7 of this
Agreemerit, ,
c: Contractoi agre�s to comply with all fedexal; state, and locallaws an� ordinances
applicable'to the Services to�be pe�f�rmed under this Agreement, including a11
safety stan.dards. The Cont�actor shall �e solely a�d completely responsible for
conditio�s of t�e jo� site, including the safety of all persons and properry during
the perfo��rnance of the Services. The Contractol xepresen.ts and warrants that it.
has the x•equisite training; skills,and experience necessaa�y to provide the Services
and is appropriately licensed and has oi will obtain all pei�rnits fiom all app�ical�le
agencies and governmen:tal entities.

2; PAYMENT.
a. City agr•ees to pay a�d Contiactoz' agrees: to i'eceive and aecept payment �oi
Services as set fot�th in the E�ibits;
b; Any changes in fhe seope of the wo11c of the Services that may result in an
inerease to the compensation due the Contractor sh�ll require prxor written
approval by the authorized rep�esentative of the City o�by the Gity Council: The
City vc�ill not pay additional compensation for Setvices that do iiot �ave pi•ior
vv�itten authorization.
c, Prio:e to payinent, the Contractor will submit evic�ence that all �ayrolls, mateiial
bi11s, subcontractors and other indebtedness connected with the Services have
been paid as rec�ui�ed by the City.
3, TERM, The terzri of this Agreement is identifed in the Exhibits. Tliis Agreement may
be extended upon the wi•itten mutual-consent of the parties foz such additional pe�ioc� as
they deem appxopriate, and upon the same terms and conditions as'he�ein stated.
4. TERIVIINA'TION AND REMEDIES.
a. Term�nation�v Either Pa��tX. This Agreement may be tei�ninated by either party
upon 30 days' written notice c�elivered to the other pai`ty to t�e adcl�esses listed in
Section 13 of tfiis Agreerrient; Upox��termination under this pro�vision, if there is
no default by the Contractor; Contractox sha11 be paid for Seivices rendered and
reimbursable expe�ses tluough the effective date of tet�nination.
b. Termination Due to Dafault. This Agi�eenient may be terminated by either paz�ty
upon written notice in the event of substantial faihue by the othei party to perform in
accordance with the terrx�s of this Agreement. The non perfox�ning pal�ty sk�all have
�fteen(�5) calenc�ar days fiom the date of the teimination notice to cure oi�to submit
a�lan for cure that is acceptabXe to the other party, �
c. Remedies. Notwithstanding the above, the Contractor shall not be zelieved of
.liability to the City for damages sustained by the Gity as a result of any breaeh of
this Agreement b�the Contractor, The City may,in such evei�t;
i. Withhold payments dtte to the Contractor for the pui�ose of set-off until
such time as the exact amount of c�amages due to the Cxty is deteYmined.
ii, Perfoi�n the Services, oi� contt:act for' the perfoi7iiance of Setvices, in
which,case;the Cpnt�actor shall within 30 days �ftei written billing by the
City,iteimburs�the City for any costs and expenses iricuz�•ed by the City,

The rights or �emedies provided for herein shall not limit the City, in case of any
default by the Gontractor, �rom assel�tir�g any othe�iight o1 remec�y allowe�l 1�y 1aw,
eguity, or by statute.
d. Upon termination of thzs Agreement, the Contractor shall furnish to the City
copies or duplicate originals of a11 documents oz memoranda prepared fox the City
not pi•ev�ously furnished.
5. SUBCON�'RACTORS. Contxactor shall not entei into subcontzacts for any of the
Services provided for in this Agreeznent without the express written corisent of the Gity,
unless specifically provided for in the E�ibits. The Contractor shall pay any
subcontiactor involved in the pe�formance of this Agreement within the ten (:10) days of
the Contraetoz's zeceipt of payment by tl�e City foi undisputed services provic�ed by the
subcontractoY�,
6, STANDARD OF CARE. �i perfox�rning its Services, Confzactor will.use that degree of
caYe and slcill o�•dinarily exez•cised, under similar ci�cumstances,by reputable members of
its professiori in the same locality at the time the Se��vices are provided.
7. DELAY IN PERFQRMANCE, Neither City nor Conhactor shall be considered in default
of this Agreement�Qx delays i�i perfoi7nance caused by circumstances beyond the fieasonable
contxol of the nonpet�£oz7ning party, Fo�• purposes of this Agreement, suah aircumstances
include, but are not limitec� to, abnormal weat�er conditions, floods; earthquakes; fire;
epideznics; war, riots; and other civil disturbances; shilces,loelcouts, worl�slowdowns, and.
other labor clisturbances; sabotage; judicial resh�int; and inability to procttre permits,
lieenses or authorizations fiom any local, state, oi �ederal agency for any af the supplies,
matezials, accesses, or seivices required to be proyided by either City or Gontractor under
this Agreeme�t. �f such circumstances occtu, the nonperfoi7ning party shall, within a
reasonable tur�e of being p�evented fiom perfoa�ming; give wxitten notice to the othe� party
describing the cireumstances pze�enting contuiued pei�formance and the effoi�ts beuig made
to resuz�.e pe��ormance of this Agreement. Contractor will be entitled to payment fai its
reasonable additio�al chalges, if any, due to the delay.
8: CITY'S REPRESENTATIVE. The City has designated Ste�e Bowe, Cit�Fozester;to act
as the City's representative Wxth respect to the Seivices to be perfoimed under this
Agreement. He or she shall have complete authority to transmit instiuctions, receive
information, intez�xet, and define the City's policy and decisions with respect to the

9. P�OJECT MANAGER AND STAFFING. The Contractor has designated ���"�
E��=i=v�:�N and �N11�� 1'�'t�i�IAM�1�A to be the primary contacts for t�e
City in t�e perfotmance of t�e Services. They shall be assisted by ot�iea+staff inembeis as
necessazy to facilztate the comp�etion of the Sexvices in accoxdance with the te�mS
established hexein: Cont�aetor may not zemove or ieplace these designated staff without
the approval of the Gity.
10. INDElVINIFICATI ON.
�: Contractoi a�d City eac1�.agit•ee to defend, inc�emnify, and hold hai�mless each other,
its agents ar�d eznployees, fionl and against legal liability for all claims, losses,
damages, aiic7 expenses to the extent such claims, losses, damages, o�� e�enses at•e
caused by its negligent acts, errors, or omissions, In the event claims, losses,
damages, oi•expenses a��e caused by the joint or concui7ent negligence of Contractoi
and City,the�shall be bolne by each pai�ty ul proportion to its own negligence:
b. Contractoi s�a�l �ndeimiiif� Gity against 1ega1 liability for damages a��ising out of
claims by Contractor's employees or subconhactozs, including all liens. City shall
indemnify Co�t�actor against legal liabzlity for damages aiising out of claims by
City's employees or subcontractors.
11. TNSURANCE. During the perfoi7nanee of the Services urider this Agreement, Cont�actoi
shall maintain the following insuiance:
a. Comme�cial Genera� Liability Insurance, with a limit of $�,000,000 for any
numl�ei of claims aiising out of a single occui7•ence; pu�suant to Miru�esota
Statutes; Section 466.04, ol as may be amended;
b. Worlcers' Compensation Insurance in accordance with statutory lequirements.
c. Automobile Liability Insurance,with a combinecl single limit of$1,000,000 foit each
peison and$1,000,000 fo�each accident,
Contractor sha11 fui•nish the City with ce��tifieates of insurance, which shall include a
provision tliat such insurance shall not be canceled without wzitten notice to the City,
The City shall be named as an additio�ial insured on the Coml�ercial General Lia�ility
Insu�ance policy.
�.2. INSPECTION OF WORK. All rnaterials and worl�nanship �v�ll be subject to inspection,
examination, and testing by the City, who will have the right to reject de�ective material
and worlunanship ollequiie its coi7eetion.
13. CLEANING UP: Contractor s�all lceep the pi•emises fiee from accumulation of waste
material and iubbish and af the completion of the worl� shall remove from the premises
all rubbish, implements, and sux�lus materials,

14. W��RRANTIES. Conh�actor warrants and guaxantees that title to all work> matei•ials, and
equipment covered by any invoice; will pass to City no Xater than the Comp�etion Date.
Contractor wal7ants that al1 worlc will be free fiom defects and that a11 m�tei`ials will be
new and of fust quality, If within one (l) year after final payment any wozl� or material
is found ta be defective, Contractor shall promptly, without cost to the City, coi�ecfi such
defect:

16, INDEP�NDENT CONTRACTOR STATUS. All ser�vices provided by Contractor, its
off'�cexs, agents and employees pursuant to this Agreement shall be provided as
employees of Contiactoi or as independent contractors of Contractoi• and not as
employees of the City for any purpose.
l7. GENERAL PROVISIONS.
a. Assi�ent. This AgY•een�ent is not a5signable without the mutual written
agreement of the par-ties.
b. Waivez. A waiver by eithe�City or Contiacto�of any breach o�t�ais Agreement shall
be in wi7ting. Such a vvaiver sk�all not affect the waiving pai�ty's iights with z�espect �
to any other dr fuY�ther breach.
c. Noridisc��imination. Gontractoi agrees that in the hiring of emp�oyees to pexfoi�n
Sexvices under this Agreement, Cont�actoi shall not discziminate against any
pez�sonby reason of any cl�azacteristic piotected by state oi fedeial law.
d, Govei�nin� Law; This Ag��eement s�a1l be construed in accordance withthe laws
of the State of IVtinnesota and any action inust be venued in Washington County
District Court.

e. Amendrnents. Any modification or amendment to this Agreement shall require a
written agreement sxgned by both parties,
f, Sevexabilit�. �f any term of this Agi'eement is found be `void oi invalid, such
invalidity shall not af�ect the remaining terms of this Agreement, t�vhich shall
continue in full foree arid effect.
g. Data Practices Compliance, A11 data collected by the City pursuant to tliis
Agreement shall �e subject to the Minnesota Government Data Practices Act;

h. Entire Agreement. This Agreeinent constitutes the entire agreemerlt of the p�t�ties
and supersedes all prior eommunications, understandings and agreements relating
to the subject nlatter hereof,whether oral ox written,

3. COMPENSATION:
The City will pay Contractoi the stipulated sum of $68,244.00 ("Contract Sum") as
follows:
Spiing payment of$68,244,00 will occur after all woz�lc ielated to the Coritracts terms and
conditions related to the Cont�act Doculnent are completed to t1�e satisfactio�i o�the City
of Cottage Grove and ox City Foiiester on or before June 4,2016;

General Project Description
Under•these items,t�e Contractor shall plant t�ees with designated species,place mulch alound
trees, and restore any incidental disturbed boulevard areas duri�g planting of the boulevard trees.

Piovide trees of quantity, size, genus, species, and vasiety shown and scheduled for landscape
worlc and complying with recommendations and�equirexnents of ANSE z60.1 "Atnerican
Standard for Nurse�•y Stocic." Provide healthy,vigorous stocl�, grown in recognized nursery in
accordance with good hox�icultu�'al pxactice and free of disease,insects, eggs, larvae, and defects,
such as l�nats,hail damage, sun-scalc�,in,juries, abzasio�s, ot•disfigurement.
InSpection
The City Forester or Pa�l�s and Recreation Director will inspect trees at place of growth befoie
p�anting fo1 compliance with requirements for genus, species, variety, size, and quality. The
City Forester or Parl�s and Recreation Director i�etains the right to fur�ther inspect trees, grasses
and perennials for size and condition of balls and iroot systems,insects,injuries, and latent
defects, and to reject u,nsatisfacfory oi defective matez•ial at any time dLuing pzogress of woilc.
Remove rejected trees within 48 houis from the Site.

1. Deliver all materials in accordance with IVIuDOT Spec, 386J..

Remove sticics,lubbish,foreigi�xnatel'ials, and undesirable plants and theix�roots: Remove stones
measuring ovei 1-1/2 inch in ariy dimension. Do not bury foxeign material beneatli areas to be
landscaped or restored.
Placement
1. Set co�ntainez gzawn stocic, on layer of compacted bacisfill soil:�nixture,plum�, and in
center of pit or trench with root flaie at the adjacent finished�andscapa grades.
2, Cut contaiiiers on sides into c�uai�ers with shear. Remove cozitainei'befoi'e setting p�ant
so as not to damage root balls.
Back#'illing
1. After completing adjustxnents,place planting soil bacl�fill around base and sides of root
ball in $-inch maximum layers, wo��lcing each layer to seftle bacl�ll and elimir�ate voids

accidents, vandalism;theft,rodent damage, daznage fiom Contractor's operations, and other
causes.
Trees wi11 be inspected�rioi�to the end of the guarantee period. All trees found dead or not in a
�ealthy growii�g conditio�shall be replaced at that tim�with material of tk�e same size and
species: �e�lacement trees plarited at the enc�of the 1-year guaiantee period are not guaranteed,
but are subject to inspection and rejection by the Par��s a�d Recreation Diz`ector or City Foiester.
Removal and disposal of all xeplaced tree material shall be incidental to the Contract.
Measurement and Payment
The quantity o�tree planting to be�aid for undes this contract sha11 be the numbei of tiees
planted at ea�h add�ress including the disposal of a11 debris and c�eanup in accordance with the
specifications and direction of t1�e City Forester and Director of Pa��les and Recreation.
The price quote shall be u�it pzice per tree and sha11 include the cost of alI labor,matelials, and
equipment necessary�oi planting of the tree,hydroseedi�ig,mulching, watering, cleanup, and
