WHEREAS, Emplc�yee laas�een esnplt�pe� by Emplayer since March 2S, 2fl�lt�; and
WHEREA,�, E�npl�yee and Emptayer mufua�ly desire �o set fo��h tl�e te��ms and
conditi�ns under which Empic�yee ends �er employment with�he City>

2. Benefifs. Employei• agt•ees ta pr��ui�e the fc�llawing benefits tc� Employee s�bject
to the rescission p�•ovision of�ectit�n 5:
A. Seveiance Pay a�7d Pe�•sonal Lea�e. Empic,yee�=ill be en#itled to be��fits t�iat

the extent allawed by, th� provisiar�s of tl�e Minnesot� Government Data
Practices Act gc�vernin�;4fpe�•sQnnei d�t�."
Emp�oyee understands that she wi11 receive the benefi�s set faz-th in this �ectic►n 2 c�nly if
sh� signs this Ag��eement and does not rescir�d it withi� the fiftee�� (1S} ciay r�scissic�n �ec�io�

3. Release c�f Ciaims. Empioyee, on behaif c�f�erseif and her� heirs, r�presentatives,
exeeuto�•s, administratc�rs, successo�•s, a�ex�ts, and assigns, knowingly, v€�luntarily, and
uneonditionally r��eases �nd fc��ever discharges the City, its present, future, c��• farm�r elect�c�
officials, Counci� membe�=s, managers, attarne�s, r�p�•esentativcs, offic�rs, agents, e�n�lc�yees,
consultants, insui•ers {ir�cludin�; the League c�f �innesat� Cities I��suranc� Tx�st}, success�rs,
assigas, �mplc�yee welfare b�neft plans and pensi�n or deferred com�ensatic�n plans, and t�eir
tru�tees, administrators and other �duciaries, and all per�c�ns a�tin� by, thr�ugh, unc�er, c�� in
conce�� with them, c�r any t�f tl�em ("Released Pa��ties"), bc�th individualiy and collecti�ely, from
any and al� ��ights, claims, demands, cc�ntroversies, att�rneys' fees, lia�ilzties, actions, causes c�f
action, dam�ges, ic�sses, cc�sts, expenses a�c� cc�mpensation, of any nature, known o�� unknc�wt�,
asse��ed or unasse��ter�, fixed c��• cantingent {"Ciaims"}, which Emplc�yee ma� have, �ver �av�

cc�mpensati�n �enefits tc� the extent t�at such bene�ts are awarded by a state ag�ncy c��• agree�
up�n consister�t wit� appiicabie state la�v; (iii) �r�sted p�st-terminati�n 6�nefits �r��er any
emplc�yee benefi� plan; �iv} i�ights and i�enefits under the Co�solidat�d t�m�ibus Reconciliatic�n
Act of 1985, �s arnenc�ed, (CC?BI2A); {v) the right to enfc�rce the t�rms of this Ag�eement, {vi)

seek damages of any kind frc�m ar�y o�• ali of the R.eleased Pa�ties for any cc��duct�redatin�her
��ecutian of this Agreement, inc�uding, without iimitation, compei�sat�ty damages, incidental
darn�ges, consec�uer�tial dama�es, exemplary or punitit�e c�ama�es, attc�rneys' fees, co�ts anc�
disb�rsements. Similarly, �rr�plc�yee understatxds#��at by rel�asing�he 12�lease� Pa�•tie� frc►m th�

�. Cons�deration P���ia�. Emplc�yee ur�derstands and acknc�wledges that she nlay
take up to twen�y-one (21) days from the date she��eceives tllis Agreement to cc�nside�•i�an�i see�
cot�ns�l to advise her r�garding the te�•�ns. Emplc�yee a�knowledges t�at she received this

Employee represen�s that if she signs th�s Agreement befoxe the expiration c�f�he 21-day period,
it is because she lias decide� that she does not need any a�lditional time tc� consider wh�t�er she
wishes to re�ease any potential claims.
S. Ri�;ht to Reseind Bv Emt�lo�ee. �mploy�� understands and acknowlec�g�s that
she ��s the ri�;��t to rescind �r revoke her release af any claims she may have under t�e A�e
I�iscriminati+�n i� E3np1€�y�nent Act {AI�EA), 29 U.S.C. � 621, et seq., if don� within seven ('�
caIe��dar days from the dat� s�e sign� this Ag��eemer�t. Ernplc��ee und��•s�ands anc�
ackn�w�edges tliat s�e �as th� x���h�t to rescind c�r revc�ke her release of any olaims sh� may �ave
unde� t�� Mir3nesota Hurnan Right� Act ("MHRA"�, Min��. �tat. Chap. 363, if d�r�e within
fif#een {15� ca�endar days from t�e date she signs this A�reeme��.
This Agree�nent shai� not become effective until the re�cission or ��evo�atic�n peric�d has
expireci. Emplayee understa�ds that in the event s�e�•escinc�s t�is Agreem�nt,the City sha11 �atre
no c�bli�atian whatst�ever unciet• this A�reement and the A�reert�ent will b� rer�der�d null �nc�

pr�ceding se��tence and s�nt by Certified Maii, Return F�eceipt Requested. If de�iverec� by hanc�,
it m�st be given ta Cha�•lene �tevens, wi�hin the 15-day p��iod.

that the City's c�b�igations tc� her, as set forfh in t�is Ag�eement, shail be �nenf�rceable unless

7. Recommendation tv Retair� Gounsel. Em�Ioyee ackr�c�wiedg�s that the City
re�ommended that she retain counsel in connection with the negotia�ions rulat�ng tQ, anei h�r
executian of, this Agre�m�n�. En�plo�ee specifcaliy acknowiedges��tat t1�e City°s obligations tc�
�ecommend that she retain counsel, as �•ec�uired by the AD�A a�d/c�r the M�-IRA, have b�en
ftzlfi�led.
8. R�cords� �ocuments and Propex�y. Empic�yee wil� �•eturn to �he City �1� its
recor�is, cc�7•�•esponde�ce and documents as we�l as aIl key� and ec�uipment in her possessic�n on
M�.y b,2016.
9. Knowin� and Valuntai�y Waiv�r c�f LTnkn4w�Claims. Emplc�yee und�rstands th��
t�is Agreement ext�nds ta ��1 cl�ims which th� Empic�yee doe� not knc�w c�r s�spect tc� exist at
the time o�execu�ing tl�is Agreetnen�. By executing t�is Agre��ent} Emplc�yee in�ends fo, and
h�reby daes, rele�se Released Parties fi•c�m claims which she dcres not presently k�ow ar suspe�t
to exist at this fime.
�0. Na L�wsuits. Employee �•epresents t�at there are na Iawsuits ini�iated or pending
by her against the Released Pa��ties.

12, Nc�n-Adtnissiar� of Lia�ilitv. The pat�ies u�dersta�d and a�ree ti�at neither th�
agr�ernents set fo�•th herein nc�t•the execution of this Agreement shall cvnst�tu�� c�r be cc�n:sirued
as an adrnission 4f any�iability, wrc�ngdoing, or vic�latian af any law or re�ulativn by the City, �t•
an admission o��he existence af th� fac�s upc�n wl�ich li�bility, w�c�ngdgin�, rar vic�Iation of�aw
Qz• regulation could b� basec�. The pa��ties �ekr�ow�edge �nd agree �hat tl��y will enc� the
em��oyme�t relati�nship in a mutualiy respectful manner, withaut �aking acz•i��onious
state�e�ts ar dispara�ir�� comm�nts about the c�ther.
13, Data Practices Act. The �,arties agree t��# this Agreerr�ent is a public docum��t
under the Minnesota Government Data F�•actices Act and will r�o� be protected as pri�vate,
eonfidential, or non-pubiic information. This Agreeme�t wi�l be treated�s pu�tic data withi��the
meaning o�the Minnesota Government L�ata Practices A�tr Minnesota Statutes C�ap�er I3.
Z4. Complete Agreement, T�e parties acknowl�dg� �nd represer�t ihat nc� prc�mise �r
representatic�n not cc�ntained in this Ag�eement has been mac�e to th�m, and a�knc�rxvledge �nd
re�rasent that ti�is Agreement contains the entire unciers�an�iing between the pa��ies ar�d cc�ntains
alI terms anc� cc�ndi�ic�ns p�z�tain€ng tc� the se�tlement �,f the pa��ties' t�isputes. This Agreernenf
supersed�s�11 previous ag�ee�nents, w�iethex•oral c,�•written, b�tweer�Employ�e and th� City.
��. Knc�win� and Vc�lunt�r�Execution. Et�ployee ackno�viedges that she has read
this Agreement, that she fuily �nderstands her rights, privi�e�es, a�id duties �ereunder, anc� t�at
she enters inta r�e Agreement fi��eiy and vc�l�ntari�y. Em�loyee further� ac�Cn�w]e��es th�t sh�
has had an c�ppc�rtunity tca c+�nsult with an attc���ney c�f�e�• chc�ice ta ex�Iain the te��rns c�f this
Agreement and the�ons�quences of signin�it.
16. Counter�. This Agreem�nt inay be signed simultanec�usly in twr� or more

c��e and the same cloc�ment,

Emplayee in Section 3.

interpreted in acc�rd�nce with the laws of the St�te af M�nnesc�ta, It is ful�ther �greed that any
action initiated in connectic�n with f�e int�i�pre���ion c��c�i•adhe��ence to the terms a�d provisions
€�f this Agreement sha�1 6e venue� sol�ly and exclusively in state couz-�, in t�e State e�f
Minn�sc�ta, in tl�e County c�f yVashin�tc�n. The pa�•ties tc� this Agreement agree and acknc�wiedge
that this Agreement sha�� be con�it�ereti to have been drafte� e�ually by�ach of th�p�rties.
