PURCHASE AGREENL�NT
1. PAIiTiES. This Purchase Agreement is made chis � day of ��G �
1998 by and between Emily 5olberg, ("Owner") and the CTTY OF COTTAGE GROVB
("Buyer").
Z. SUBTECT PROPERTY. Owner is the owner of that certain real estate located on
vacant land on the West side af Harkness Avenue 5outh, Cattage Grrove, Minnesata, Washington
County, legaily dascribed on the attached Euhibit A.
3. OFFER/ACCEPTANCE. In consideraYion of the mutual agreements herein, Buyer
offers and agrees to purchase and Owner agrees to sell and convey to Buyer the property and or
easement(s) descrihed on the attached'ExlaibiL A.
4. CONTTNGENCPlACCEPTANCE bEADLINE. This 1'urchase Ageement is
contingant upon appravat of the Cottage Crrove City Council within 30 days oF the dsta of this
purchase �greement. If the City Council does not approve this Purchase Agreement within that
period, this Purchase Agreement shali be nult and void.
5. C�N"VEYANCE It�STRUMENT. Owner agees to execute, befote a notary public, an
insuument conveying tha properGy and or easement(s) to the Buyer. The Ownar also agreea to
execute IRS Form W-9 and any other dtle instruments necessary to close this transaction. If the
contingancy deadJine in paragaph 4 is not satiefied, tha conveyance documents will bc returned to
the Owner. if the contingency deadline is satis$ed and the Purchase Agreement is approved by
the City CounciVCity Administrator, the conveyance documents shall Uecome operative a�d shall
operate as a right of entry to permit the Buyer to entex the PropeRy for purposes of daing the
worl� contemplated by Che conveyance document.
6, PCJRCHASE PR.TCE: The Purchase Prica far the property and or easement to be
aequired sha11 be $4,&50.00. WiChin 30 days after (i} the conveyance document is delivered to
Buyer with the si�natures of all fee ownars and contract for deed purchasers and (ii) signed
consents or releases from atl mortgagees a.nd iienholdcrs, where required, arc delivered to Buyer,
Huyer shail pay the Purchase Price to Owner by a check made payable jaintly ta Owner and sny
other person or entity which has one of the foltowing interests in the Propecty: fee tide, contract
for deed purchase interest, mortgage or any lien that could result in forfeiture of title. Buyer and
Owner will assist and cooperate wlth each other in obtaining mortgage and lienholder consents,
where required.

8• RECORD7NG COSTS. The Buyer will pay the fees for prepadng and recording the
conveyance documeut. Thc Owner is cesponsible for fees necessary to establish or clear Uwner's
title to the ProperCy (e.g., deeds, contracts for deed, pr satisfactions of motkgages).
4. CONDtTION OF StTBSQIL AND GROUND WAT'ER Owner represents and
warrants to $uyer that during the time the Owner l�as owned the Property there have been no acts
ar occurrences upon the Property that I�ave caused or could cause impurities in the subsoil ot
ground water of the Property or other adjacent propertias. This wananty shall survive the closing
of this transaction,
